EDISON: APPROVATO PROGETTO DI FUSIONE PER INCORPORAZIONE DI SHEN

Milano, 11 Dicembre 2015 – Il Consiglio di Amministrazione di Edison, riunitosi l'8 dicembre 2015, ha approvato, ai sensi dell'art. 2505, secondo comma, del codice civile, il progetto di fusione per incorporazione in Edison SpA di Shen SpA, società a socio unico e soggetta alla direzione e al coordinamento di Edison SpA.

Il verbale della riunione, che è stato iscritto in data 11 dicembre 2015 presso il Registro delle Imprese di Milano, è depositato e a disposizione del pubblico presso la sede sociale, nel sito Internet di Borsa Italiana Spa (www.borsaitaliana.it), nel sito di Edison Spa (http://www.edison.it/it/operazioni-straordinarie) e presso il meccanismo di stoccaggio autorizzato "NIS-Storage" ().

EDISON: APPROVED PROJECT FOR MERGER BY INCORPORATION OF SHEN

Milan, December 11, 2015 – Edison's Board of Directors during the meeting held on December 8, 2015, approved the project for the merger by incorporation into Edison S.p.A. of Shen Spa, which is subject to the direction and coordination of Edison S.p.A.. The project was prepared pursuant to art. 2505 – second paragraph of the Italian Civil Code.

Minutes of the meeting, which was recorded on December 11, 2015 in the Register of Milan Companies, is registered and is available to the public at the Company's head office, on the websites of Borsa Italiana Spa (www.borsaitaliana.it) and Edison Spa (http://www.edison.it/en/extraordinary-operations) and through the authorized storage mechanism "NIS-Storage" ().
