Saipem: i centri di ingegneria di Vibo Valentia e Roma acquisiti da Tecnomare (gruppo Eni)

San Donato Milanese (Milano), 23 dicembre 2015 – Saipem ha sottoscritto un accordo per il trasferimento del ramo d'azienda costituito dai centri di esecuzione progetti di Vibo Valentia e Roma a Tecnomare in coerenza con la strategia di focalizzazione e ottimizzazione annunciata all'interno del nuovo piano industriale.

I centri di esecuzione progetti di Vibo Valentia e Roma impiegano 354 risorse, impegnate in buona parte su progetti per Eni, che assicurano attività di ingegneria, project management, supervisione lavori e relativi servizi di supporto nei settori upstream, raffinazione e chimica, in Italia e all'estero.

Saipem continua ad affidarsi alle competenze ingegneristiche detenute dai centri di San Donato Milanese, Fano, dalle strutture organizzative presenti su Roma non facenti parte del ramo d'azienda oggetto di cessione, nonché dalle strutture di Parigi e di altri centri nel mondo, come fattore competitivo strategico e differenziante.

L'operazione di cessione del ramo avrà efficacia dal 31 dicembre 2015, e le strutture verranno integrate nell'organizzazione dell'acquirente Tecnomare.

La cessione del ramo a Tecnomare costituisce operazione di minore rilevanza ai sensi della procedura parti correlate. La cessione è stata approvata, all'unanimità, dal Consiglio di Amministrazione di Saipem. Il Comitato per il Controllo e i Rischi, sulla base delle valutazioni di un qualificato advisor indipendente, ha espresso, all'unanimità, parere favorevole sull'interesse di Saipem al compimento dell'operazione nonché sulla convenienza e correttezza sostanziale delle relative condizioni.

Saipem: Vibo Valentia and Rome engineering centres purchased by Tecnomare (Eni group)

San Donato Milanese (Milan), 23 December 2015 – Saipem has signed an agreement for the transfer of the business line comprising the Vibo Valentia and Rome project execution centres to Tecnomare, in line with the company's strategy of optimization and focus on core businesses presented in its new industrial plan.

The Vibo Valentia and Rome project execution centres employ 354 resources, mainly working on projects for Eni, providing engineering, project management, construction supervision, and related support services in the upstream, refining and chemical sectors in Italy and abroad.

Saipem will continue to rely on the engineering capabilities of San Donato Milanese, Fano and the organizational structures in Rome which are not part of the business undertaking being sold, as well as the Paris offices and other centres around the world, which provide the company with a strategic and distinctive competitive edge.

The sale of the business line will be effective as of 31 December 2015, and the structures will be integrated into the organization of Tecnomare.

The sale of the business line to Tecnomare constitutes a transaction of lesser importance under the procedure regarding transactions with related parties. The sale was approved unanimously by the Board of Directors of Saipem. The Control and Risks Committee, based on the assessment of a qualified independent advisor has expressed a unanimously favourable opinion on Saipem's interest in completing the transaction as well as the convenience and substantial fairness of its conditions.
