FIERA MILANO: CONCLUSO L'AUMENTO DI CAPITALE IN OPZIONE

Milano, 29 gennaio 2016. Fiera Milano comunica che si è conclusa l'offerta in opzione agli azionisti di massime n. 31.126.821 azioni ordinarie di nuova emissione Fiera Milano (le "Azioni in Offerta"), rivenienti dall'aumento di capitale a pagamento deliberato dall'Assemblea Straordinaria degli Azionisti del 31 luglio 2015.

Durante il periodo di offerta in opzione, iniziato il 30 novembre 2015 e conclusosi il 18 dicembre 2015 (il "Periodo di Offerta"), sono stati esercitati n. 39.693.856 diritti di opzione per la sottoscrizione di n. 29.770.392 azioni ordinarie, pari al 95,64% del totale della Azioni in Offerta, per un controvalore complessivo di 66.834.530 euro.

In conformità all'articolo 2441, comma terzo, del Codice Civile, nella sedute del 22, 25, 26 27 e 28 gennaio 2016 sono stati offerti in Borsa (l'"Offerta in Borsa") n. 1.808.572 diritti di opzione non esercitati che davano diritto alla sottoscrizione di complessive n. 1.356.429 azioni ordinarie pari al 4,36% delle Azioni in Offerta per un controvalore complessivo pari a 3.045.183 euro.

Nel periodo di Offerta in Borsa sono stati venduti n. 280.000 diritti non esercitati e, successivamente, non sono state sottoscritte ulteriori azioni.

Si comunica, pertanto, che il capitale sociale di Fiera Milano, pari a 42.445.141 euro, suddiviso in n. 71.917.829 azioni, prive del valore nominale, risulta invariato rispetto a quanto comunicato al mercato in data 13 gennaio 2016.

FIERA MILANO: CONCLUSION OF RIGHTS OPTION CAPITAL INCREASE

Milano, 29 January 2016. Fiera Milano announces the conclusion of the rights option offer to shareholders of a maximum no. 31,126,821 newly issued ordinary shares in Fiera Milano (the "Shares Offered"), relating to the paid capital increase approved by the Extraordinary Meeting of Shareholders of 31 July 2015.

During the rights option offer period, which began on 30 November 2015 and ended on 18 December 2015 (the "Offer Period"), no. 39,693,856 option rights were exercised for the subscription of no. 29,770,392 ordinary shares, equal to 95.64% of the total number of Shares Offered, representing a total value of Euro 66,834,530.

In accordance with article 2441, paragraph three, of the Italian Civil Code, in the sessions of 22, 25, 26, 27 and 28 January 2016, no. 1,808,572 unexercised option rights were offered on the Stock Market (the "Stock Market Offer") giving rights to the subscription of a total number of 1,356,429 ordinary shares, equal to 4.36% of the ordinary shares offered, representing a total value of Euro 3,045,183.

During the Stock Market Offer period no. 280,000 unexercised rights were sold and, subsequently no further shares offered were subscribed for.

The share capital of Fiera Milano, equal to Euro 42,445,141, composed of 71,917,829 shares, with no nominal value, is unchanged compared to the press release issued to the market on 13 January 2016.
