Premessa

In data 22 dicembre 2015, con l'ottenimento da parte di Consob del giudizio di equivalenza sul documento informativo relativo alla fusione per incorporazione di Aria Italia S.p.A. (la holding che possiede le attività del Gruppo Aria) in Tiscali S.p.A, il Gruppo Tiscali ha concluso positivamente il procedimento che ha portato alla fusione dei due gruppi. L'efficacia della fusione (anche ai fini civilistici, contabili e fiscali) è decorsa dal 24 dicembre 2015. Pertanto, i dati rappresentati nel proseguo del presente documento si riferiscono al consolidato del Gruppo Tiscali inclusivo dei dati del Gruppo Aria

In ottemperanza alla richiesta di Consob ai sensi dell'articolo 114 comma 5 del D. Lgs. N. 58/98 inviata alla Società in data 14 luglio 2009, si forniscono al mercato le seguenti informazioni sul Gruppo Tiscali riferite al 31 Dicembre 2015.

Note:

• (1) Include debiti bancari di Tiscali Italia S.p.A.,Veesible e Aria per 12,2 milioni di Euro;
• (2) Include la parte a breve del debito verso i Senior Lenders, ristrutturato il 23 Dicembre 2014, per 11,6 milioni di Euro;
• (3) Include la quota a breve termine del debito "Sale and Lease Back Sa Illetta" per 3,1 milioni di Euro;
• (4) Include la parte a lungo del debito verso i Senior Lenders, ristrutturato il 23 Dicembre 2014 pari a 72,6 milioni di Euro, oltre all'importo di 15 milioni di Euro relativo al finanziamento stipulato con Rigensis Bank in data 22 Ottobre 2015;
• (5) Include la quota a lungo termine del debito "Sale and Lease Back Sa Illetta" per 50,6 milioni di Euro.

Si segnala che, in data 24 dicembre la Società, con le risorse finanziarie rinvenienti dalla fusione, ha provveduto al pagamento della Tranche A1 del Senior Loan, pari a 42,4 milioni di Euro. Inoltre, nella medesima data, sono stati corrisposti 0,7 milioni di Euro di interessi sulla medesima Tranche A1, maturati dal 30 settembre 2015 al 24 Dicembre 2015.

Riguardo al debito relativo al contratto di Sale and Lease Back Sa Illetta si segnala che la Società, nel mese di Dicembre 2015, ha provveduto ad utilizzare integralmente il deposito cauzionale per 6,1 milioni di Euro (contabilizzato fino al mese di Novembre 2015 nei Crediti finanziari correnti) al fine di provvedere al pagamento dei canoni pregressi (come definiti dall'Accordo Modificativo del contratto stesso siglato in data 2 Ottobre 2015).

^POSIZIONI DEBITORIE SCADUTE DEL GRUPPO TISCALI AL ^{31 D}ICEMBRE ²⁰¹⁵

Alla data del 31 Dicembre 2015, i debiti commerciali netti scaduti (*) ammontano a 44,7 milioni di Euro. Si segnalano inoltre debiti tributari scaduti pari a circa 11,4 milioni di Euro. Si segnalano inoltre debiti scaduti di natura previdenziale verso i dipendenti per complessivi 1 milione di Euro.

^EVENTUALI INIZIATIVE DI REAZIONE DEI CREDITORI DEL GRUPPO AL ^{31 D}ICEMBRE ²⁰¹⁵

Alla data del 31 Dicembre 2015 sono stati ricevuti solleciti di pagamento nell'ambito dell'ordinaria gestione amministrativa. A tale data, le principali ingiunzioni di pagamento ricevute dalla Società e non pagate in quanto in stato di trattativa o di opposizione ammontano a 2,1 milioni di Euro, mentre le ingiunzioni complessivamente ricevute ammontano a 2,2 milioni di Euro.

Non si segnalano sospensioni dei rapporti di fornitura tali da pregiudicare l'ordinario svolgimento dell'attività aziendale.

Information for the market pursuant to Art. 114, paragraph 5 of Law Decree 58/98

Introduction

On 22 December 2015, with the receipt by Consob of equivalence opinion on the disclosure document relating to the merger of Aria Italia S.p.A. (the holding company for the Aria Group's activities) in Tiscali S.p.A., Tiscali has successfully completed the process that led to the merger of the two groups. The merger (including for legal, accounting and tax) is operative from 24 December 2015. Therefore, the data presented hereby refer to the Tiscali Group's consolidated data including Aria Group.

In compliance with Consob's request sent to the Company on 14th July 2009, pursuant to Article 114, comma 5, of Law Decree N. 58/98 the Company provides to the market the following information on the Tiscali Group, referred to 30th November 2015.

The Company informs that, on December 24, with the financial resources deriving from the merger, Tiscali has paid the Tranche A1 of the Senior Loan, amounting to EUR 42.4 million. In addition, on the same date, EUR 0.7 million of interest on the same Tranche A1 were paid, accrued from 30 September 2015 to 24 December 2015.

Regarding the debt relating to the contract of Sale and Lease Back Sa Illetta, the Company informs that, in December 2015, Tiscali has taken steps to fully use the security deposit of EUR 6.1 million (recorded until the month of November 2015 in Current financial Receivables) to provide for the payment of past fees (as defined in the Modifying Agreement of the contract signed on October 2, 2015).

^OVERDUE DEBT POSITIONS OF THE TISCALI GROUP AS OF 31ST ^DECEMBER ²⁰¹⁵

On 31 December 2015, overdue trade payables, net of payment plans negotiated with suppliers, amounted to EUR 44.7 million. There were also overdue tax debts for approximately EUR 11.4 million. There were overdue debts towards the employees for EUR 1 million.

^POSSIBLE REACTION OF THE CREDITORS OF THE ^GROUP AT 31ST ^DECEMBER ²⁰¹⁵

As of 31st December 2015, there were solicitations for payment only within the ordinary course of business. On that date the injunctions for payment received by the Company and not paid off because still in negotiation or opposition, amounted to a total of EUR 2.1 million, while the total orders received amounted to EUR 2.2 million.

There have been no suspensions of supply relationships which affected the course of business.

^RELATIONSHIPS WITH RELATED PARTIES OF TISCALI S.P.A. AND TISCALI GROUP

The Tiscali Group holds relationships with related parties on terms deemed customary in the respective reference markets, taking into account the characteristics of goods and services provided.

In the table below are summarised the economic and asset values for the Group Tiscali as of 31st December 2015 arising from transactions with related parties.
