DEED OF DEMERGER FOR THE INTEGRATION OF ENEL GREEN POWER INTO ENEL REGISTERED

Rome, March 29th, 2016 – Enel S.p.A. ("Enel") and Enel Green Power S.p.A. ("EGP") hereby announce that the deed of demerger executed on March 25th, 2016, concerning the partial non-proportional demerger of EGP in favour of Enel, has been registered today with the Companies' Register of Rome.

For details on the effects of the demerger, reference should be made to the information already disclosed by Enel and EGP in the joint press release of March 25th, 2016, as well as in the joint notice published on the authorised storage mechanism "NIS-Storage" () on the same date and in the newspaper Il Sole 24 Ore on March 26th, 2016.
