COMUNICATO STAMPA

MONDO TV: con riferimento al Contratto GEM e alla prima richiesta di sottoscrizione di cui al comunicato stampa dello scorso 11 marzo 2016 si comunica che sono stati determinati:

• − il prezzo di sottoscrizione pari a Euro 4,32
• − il numero di azioni che GEM si è impegnata a sottoscrivere pari a 1.226.339
• − l'importo del pagamento da parte di GEM per le azioni di nuova emissione pari a Euro 5.299.789

6 aprile 2016 – Si fa riferimento al Contratto GEM di cui al comunicato stampa del 23 febbraio 2016 stipulato dalla Società, con il quale GEM Global Yield Fund Limited LCS SCS ("GEM") si è impegnata a sottoscrivere, in diverse tranche e solo a seguito di specifiche richieste di sottoscrizione formulate dalla Società (le "Richieste di Sottoscrizione"), un aumento di capitale con esclusione del diritto d'opzione e riservato a GEM, utilizzando lo schema della cosiddetta "Share Subscription Facility" ("SSF"), fino ad un ammontare massimo pari ad Euro 35 milioni (l'"Importo Massimo"), nell'arco temporale di tre anni (complessivamente, l'"Aumento di Capitale").

In data odierna la Società, a seguito della conclusione del Periodo di Riferimento relativo alla Prima Richiesta inviata lo scorso 11 marzo 2016, ha ricevuto la comunicazione da parte di GEM con la conferma dell'impegno a pagare alla Società la somma di Euro 5.299.789 da emettere per la prima tranche dell'Aumento di Capitale. Da tale somma andrà dedotta la prima rata del corrispettivo dovuto a GEM a titolo di commissione pari a Euro 306.250.

Il pagamento avverrà nei prossimi giorni in vista dell'emissione delle nuove azioni ordinarie Mondo TV e della loro ammissione a quotazione presso Borsa Italiana. Si rammenta che per l'operazione in oggetto non è necessaria la pubblicazione del prospetto informativo.

Si rammenta che in base al Contratto GEM, il prezzo di sottoscrizione (il "Prezzo") delle azioni oggetto della Prima Richiesta è pari al 92% della media dei prezzi di chiusura del titolo Mondo TV rilevati su Bloomberg nei giorni di borsa del periodo dal 14 marzo 2016 al 5 aprile 2016 (il "Periodo di Riferimento") ignorando ogni eventuale "Knockout Day", intendendosi per tale ogni giorno in cui (i) il 92% del prezzo di chiusura delle azioni Mondo TV sia inferiore al prezzo minimo, (ii) le azioni Mondo Tv non siano negoziate sul MTA o (iii) si sia verificato, a giudizio di GEM, un evento che impedisca o comunque interferisca sensibilmente con la capacità della Società, di adempiere alle obbligazioni assunte con la sottoscrizione del Contratto o che comporti la cessazione o sospensione dalla quotazione (per un certo periodo di tempo) o la cessazione dalla quotazione delle azioni Mondo TV. Tale prezzo è quindi risultato pari a Euro 4,32.

Si rammenta altresì che in base alla Prima Richiesta, GEM era tenuta a sottoscrivere un numero di azioni pari a non meno del 50% (con facoltà di sottoscrivere fino al 200%, ma comunque per un numero di azioni inferiore al 10% del capitale sociale) del Draw Down Amount della Prima Richiesta diviso per 15 e moltiplicato per il numero di giorni di borsa aperta nel corso del Periodo di Riferimento diversi dai Knockout Day. Pertanto, al prezzo determinato come sopra, in applicazione di tutto quanto precede, il numero massimo di azioni sottoscrivibili da GEM era pari a 2.640.000. Il numero di azioni che GEM si è impegnata a sottoscrivere è pari a n. 1.226.339, corrispondente al 46,45% delle azioni massime sottoscrivibili con la Prima Richiesta di Sottoscrizione.

Detto numero di nuove azioni è quindi pari al 4,6%, del capitale sociale.

Il valore per azione risultante sul patrimonio netto della Società al 31 dicembre 2015, come risultante dal progetto di bilancio approvato dal Consiglio di Amministrazione lo scorso 29 marzo 2016, risulta essere:

Il valore per azione risultante sulla base del Patrimonio netto del Gruppo al 31 dicembre 2015, in base al bilancio consolidato approvato dal Consiglio di Amministrazione lo scorso 29 marzo 2016, risulta essere:

Le parole maiuscole, laddove non altrimenti indicato, si intendono avere il medesimo significato alle stesse attribuito nei comunicati stampa del 23 febbraio 2016 e del 11 marzo 2016.

Secondo quanto previsto dalla Comunicazione CONSOB n. DEM/DME/DSG/8065325 del 10 luglio 2008, la Società, oltre a quanto già riportato, pubblicherà una volta emesse le azioni un comunicato contenente, tra l'altro: (i) un riepilogo in forma tabellare delle informazioni inerenti a ciascuna tranche dell'Aumento di Capitale già completata (data, prezzo, numero di azioni sottoscritte, controvalori); (ii) informazioni circa le restanti tranche ancora da effettuare comprendente il quantitativo residuo e il controvalore residuo.

PRESS RELEASE

MONDO TV: with reference to the GEM contract and the first subscription notice as per the press release dated 11 March 2016 it is hereby reported that:

• − the subscription price is Euro 4,32
• − the number of shares that GEM undertook to subscribe is 1.226.339
• − the amount of the payment due by GEM as a consideration for the new shares is Euros 5.299.789

6 April 2016 – Reference is made to the GEM Contract announced on last February 32, 2016, whereby GEM Global Yield Fund Limited LCS SCS ("GEM") undertook to subscribe, in various tranches and only on the basis of subscription notices issued by the Company ("Subscription Notices") a share capital increase with exclusion of the option right and reserved to GEM, using a "Share Subscription Facility" ("SSF") up to a maximum amount of Euros 35 million ("Maximum Amount") in three years (altogether the "Capital Increase").

Today the Company, upon expiry of the Observation Period relating to the First Notice issued last 11 March 2016, received the confirmation from GEM of their undertaking to pay to the Company the sum of Euros 5.299.789 as first tranche of the Capital Increase. From such amount the commission of Euros 306.250 due to GEM shall be deducted.

Payment will be done in the next days in view of the issuance of the new Mondo TV ordinary shares and their admission to listing with Borsa Italiana. It is reminded that the referenced transaction is not subject to publishing of a prospectus.

It is reminded that based on the Agreement, the subscription price (the "Price") of the shares deriving from the First Notice shall be equal to 92% of the average closing prices recorded by Bloomberg for Mondo TV stock during the period from 14 March 2016 to 5 April 2016 (the "Observation Period") ignoring each "Knockout Day", meaning with such any day in which (i) 92% of the closing price of Mondo TV stock is below the floor price or (ii) the ordinary shares of Mondo TV are not traded on MTA, or (iii) GEM assess that an event has occurred which it considers as to impede or notably interfere with the possibility by the Company to fulfill its obligations under the Agreement or which implies the ceasing or suspension from listing for a certain period, or the cease from listing of Mondo TV shares. Such price was then equal to 4,32

It is also reminded that pursuant to the First Notice, GEM had the obligation to subscribe a number of shares no less than 50% of the First Notice Drawdown Amount (with faculty to subscribe up to 200% thereof, but in any case for a number lower than 10% of the company's capital) divided for 15 and multiplied for the number of trading

days during the Observation Period other than Knockout Days. Therefore, at the price as determined in accordance with the above, and as set forth above, the maximum number of shares that can be subscribed by GEM shall be 2,640,000. The number of shares that GEM has undertaken to subscribe is 1.226.339 equal to 46,45% of the maximum amount of shares to be subscribed under the First Subscription Notice.

Such number of shares represents 4,6% of the current Company's Capital.

The per share value on the net equity of the Company as of 31 December 2015, as reported in the draft balance sheet approved by the Board of Directors on 29 March 2016 is:

Words in capital letters, where not otherwise defined herein, shall have the same meaning given to them in the press releases dated 23 February 206 and 11 March 2016.

As per CONSOB resolution n. DEM/DME/DSG/8065325 dated 10 July 2008, the Company further to what already stated will release upon issuance of the new shares, among others: (i) a table resuming all details of each completed tranche (date, price, number of subscribed shares, counter values); (ii) information relating to the residual tranches to be ffected including the residual quantities and counter value.
