COFIDE: F.LLI DE BENEDETTI SPA PRESENTS LIST FOR BOARD OF DIRECTORS DOCUMENTS FOR AGM FILED

Milan, April 7 2016 – COFIDE-Gruppo De Benedetti S.p.A., in relation to the second item on the Agenda of the Annual General Meeting of the Shareholders scheduled for April 29 at the second call, announces that, within the limits laid down by law and by the Company Bylaws, only one list has been presented for the "Determination of the number of Directors, appointment of the members of the Board of Directors for the years 2016-2018 and decisions as to their fees".

The majority shareholder F.LLI DE BENEDETTI S.p.A has proposed that the number of members of the Board of Directors be established as 9, compared to the current 11, and has put forward the following list of candidates:

2.	De Benedetti	Edoardo
3.	De Benedetti	Marco
4.	Candiani	Silvia	Independent
5.	Cremona	Massimo	Independent
6.	Dubini	Paola	Independent
7.	Guasti	Francesco	Independent
8.	Porcari	Maria Serena	Independent
9.	Ferrero	Pierluigi

Their curricula vitae and the full documentation in which the individual candidates accept their candidature and attest that they possess the requisites required by law and by the Company Bylaws, together with full information on their personal and professional profiles, are available to the public from today on the Company's website www.cofide.it and at its registered office (Milan, Via Ciovassino 1).

It is also announced that the Report of the Board of Directors on Own shares (item 4 on the Agenda) and the Compensation Report (item 5) are available to the public at the registered office, on the authorized storage mechanism eMarketStorage and on the website www.cofide.it.

Also available are the Annual Report and Financial Statements for the year ended December 31 2015 together with the reports of the firm of auditors and the Board of Statutory Auditors as well as the Report on Corporate Governance, which also contains information on the ownership structure as per Art. 123-bis of the TUF.
