FILING OF THE SLATES OF CANDIDATES FOR THE OFFICE OF DIRECTOR OF FINCANTIERI S.P.A.

Trieste, 27 April 2016 – FINCANTIERI S.p.A. ("Fincantieri" or the "Company") announces that the following slates of candidates for the office of Director of the Company have been filed, pursuant to Article 19 of the By-laws:

• the slate submitted on 19 April 2016 by the shareholder INARCASSA, owner of no. 19,231,000 ordinary shares representing 1.137% of Fincantieri share capital, which shows the following candidates: Paola Muratorio and Gianfranco Agostinetto;
• the slate submitted on 26 April 2016 by the shareholder Fintecna S.p.A., owner of no. 1,212,163,614 ordinary shares representing 71.636% of Fincantieri share capital, which shows the following candidates: Nicoletta Giadrossi, Simone Anichini, Donatella Treu, Giuseppe Bono e Fabrizio Palermo.

The candidates Paola Muratorio, Gianfranco Agostinetto, Nicoletta Giadrossi, Simone Anichini e Donatella Treu declared to have the independence requirements set out by Article 147-ter, paragraph 4 and Article 148, paragraph 3, of the Legislative Decree 58/1998, as well as Article 3 of the Corporate Governance Code.

The slates, along with the documents including the information required by the By-laws and by applicable law, will be made available to the public in the ways and according to the terms laid down by the regulations in force.
