Vimercate (Italia), 1 luglio 2016 – Esprinet S.p.A. (Borsa Italiana: PRT) comunica il perfezionamento dell'acquisizione del 100% del capitale di Vinzeo Technologies S.A.U. ("Vinzeo"), il quarto¹ più grande distributore di informatica e telefonia in Spagna. Con questa operazione, che si aggiunge all'acquisizione del ramo d'azienda del distributore italiano 'a valore' EDSlan, il fatturato pro-forma del Gruppo 2015 risulta pari a € 3,3 miliardi, proiettando Esprinet tra i primi quattro² maggiori distributori di ICT in Europa. Tale piazzamento risulta ancora più significativo se si considera che esso è il risultato di una leadership in Italia che dura da oltre 13 anni e dalla scalata alla classifica spagnola dopo l'ingresso in Spagna alla fine del 2005.

Vinzeo detiene importanti contratti distributivi sia in ambito ICT a 'volume' (tra cui HP, Samsung, Acer, Asus, Toshiba, Lenovo) che nel segmento 'a valore' (in particolare con Hewlett-Packard Enterprise). Dal 2009 Vinzeo è un importante distributore dei prodotti Apple, includendo iPhone (dal 2004) e Apple Watch (dal 2015).

Il perimetro della transazione include unicamente le attività di distribuzione 'all'ingrosso'. Sulla base di questo perimetro, i dati pro-forma 2015³ delle attività acquisite riportano un fatturato di ~584,4 milioni di euro (+19% rispetto al 2014) ed un EBITDA di ~7,5 milioni.

Attraverso questa operazione, Esprinet rafforza il suo portafoglio prodotti, perlopiù nell'area della telefonia mobile, e clienti, acquisendo inoltre un nuovo business IT 'a valore' grazie al contratto di distribuzione di Hewlett-Packard Enterprises ed alla possibilità di distribuire prodotti per "data center" che completano l'attuale gamma di business in Spagna.

Esprinet prevede di generare significative sinergie a seguito dell'operazione prevalentemente grazie al raddoppio di scala delle proprie attività spagnole.

Esprinet, che recentemente ha fatto il suo ingresso sul mercato portoghese è oggi il più grande distributore nel Sud-Europa, portando a compimento una strategia totalmente focalizzata sulla pura distribuzione "business-to-business" di ICT mirata all'ottenimento della leadership in ogni paese dove il Gruppo opera.

Il Gruppo comunica altresì che entro la fine di Settembre verrà presentato un piano industriale pluriennale al fine condividere con la comunità finanziaria i target economico-finanziari ed i futuri piani di sviluppo.

Vimercate (Italy) July 1 st 2016 – Esprinet S.p.A. (Italian Stock Exchange: PRT) completed today the acquisition of 100% of Vinzeo Technologies S.A.U. ("Vinzeo"), the fourth⁴ largest Spanish distributor of IT and mobile telecommunications devices. With this transaction, and together with the acquisition of the branch of the Italian value distributors EDSlan, the 2015 pro-forma turnover of the Group amounts to € 3.3 billion, allowing Esprinet to reach the fourth⁵ rank among the major ICT distributors in Europe. This placement is even more significant as long as it is the result of a leadership that has been lasting for more than 13 years in Italy, and of a climb in the Spanish ranking after entering Spain at the end of 2005.

Vinzeo operates many important distribution contracts both in the ICT 'volume' market (i.e. HP, Samsung, Acer, Asus, Toshiba, Lenovo) and in the 'value' one (mainly Hewlett-Packard Enterprise). Since 2009, Vinzeo has been a key distributor of Apple products, including iPhones (since 2014) and Apple Watch (since 2015).

The transaction perimeter only includes the wholesale distribution activities. Based on this perimeter, 2015 pro-forma accounts⁶ of the acquired perimeter showed sales of € ~584.4 million (+19% compared to 2014) and EBITDA reported of € 7.5 million.

Thanks to the transaction, Esprinet will become the leader in the Spanish distribution market, strengthen its smartphone's products and customers portfolio and acquire new value-added IT business, like Hewlett-Packard Enterprises distribution contract and 'data-center' product distribution contracts to complement the Esprinet current Spanish business.

Esprinet expects to generate significant synergies from the transaction mostly due to the doubling of scale of its Spanish operations.

Esprinet, that has recently entered the Portuguese market, is now the biggest distributor in Southern Europe bringing to completion a strategy fully focused on pure "business-to-business" ICT distribution, specifically addressed to achieve the leadership in each country where the Group operates.

The Group also informs that by the end of September it will introduce to the financial community a multi-year business plan in order to share the financial targets as well as the development plans for the future.
