In ottemperanza alla richiesta di Consob ai sensi dell'articolo 114 comma 5 del D. Lgs. N. 58/98 inviata alla Società in data 14 luglio 2009, si forniscono al mercato le seguenti informazioni sul Gruppo Tiscali riferite al 30 Giugno 2016.

Note:

• (1) Include debiti bancari delle società del Gruppo per 13,4 milioni di Euro;
• (2) Include la parte a breve del debito finanziario verso Banca Intesa / BPM (accordo siglato in data 29 giugno 2016) per 7,3 milioni di Euro, la quota a breve termine del finanziamento stipulato con Rigensis Bank in data 22 Ottobre 2015 per 4 milioni di Euro, oltre alle quote a breve di altri finanziamenti bancari a lungo termine del Gruppo Aria per 6,2 milioni di Euro;
• (3) Include la quota a breve termine del debito "Sale and Lease Back Sa Illetta" per 3,4 milioni di Euro;
• (4) Include la parte a lungo del debito finanziario verso Banca Intesa /BPM (accordo siglato in data 29 Giugno 2016), per 78,8 milioni di Euro, la parte a lungo del finanziamento Rigensis per 14,9 milioni di Euro e altri finanziamenti a lungo del Gruppo Aria per 1,3 milioni di Euro;
• (5) Include la quota a lungo termine del debito "Sale and Lease Back Sa Illetta" per 49,2 milioni di Euro.

Come descritto nel comunicato stampa pubblicato dalla Società in data 29 Giugno 2016, il Gruppo ha firmato, in tale data, un accordo di rifinanziamento con Intesa San Paolo e BPM avente per oggetto l'indebitamento senior del Gruppo a medio e lungo termine. Il nuovo finanziamento ammonta a nominali 88 milioni di euro, di cui 53 milioni di euro verso Intesa San Paolo e 35 milioni di Euro verso Banca Popolare di Milano. Il Gruppo ha provveduto, in data 29 giugno 2016 a rimborsare la quota del precedente finanziamento senior in capo agli Hedge Funds, in scadenza a settembre 2017, per un importo pari a 30,4 milioni di Euro.

^POSIZIONI DEBITORIE SCADUTE DEL GRUPPO TISCALI AL ^{30 G}IUGNO ²⁰¹⁶

Alla data del 30 Giugno 2016, i debiti commerciali netti scaduti (*) ammontano a 53,2 milioni di Euro. Alla stessa data si segnalano debiti finanziari scaduti pari a circa 1,9 milioni di Euro. Si segnalano inoltre debiti tributari scaduti pari a circa 14,3 milioni di Euro. Non ci sono debiti scaduti di natura previdenziale verso i dipendenti.

^EVENTUALI INIZIATIVE DI REAZIONE DEI CREDITORI DEL GRUPPO AL ^{30 G}IUGNO ²⁰¹⁶

Alla data del 30 Giugno 2016 sono stati ricevuti solleciti di pagamento nell'ambito dell'ordinaria gestione amministrativa. A tale data, le principali ingiunzioni di pagamento ricevute dalla Società e non pagate in quanto in stato di trattativa o di opposizione ammontano a 4,6 milioni di Euro, mentre le ingiunzioni complessivamente ricevute ammontano a 4,6 milioni di Euro.

Non si segnalano sospensioni dei rapporti di fornitura tali da pregiudicare l'ordinario svolgimento dell'attività aziendale.

Il Gruppo Tiscali intrattiene rapporti con parti correlate a condizioni ritenute normali nei rispettivi mercati di riferimento, tenuto conto delle caratteristiche dei beni e dei servizi prestati

As described in the press release published by the Company on June 29, 2016, the Group signed, on this date, a refinancing agreement with Intesa San Paolo and BPM whose object is the senior debt of the Group in the medium and long term. The new funding amounted to a nominal EUR 88 million, of which EUR 53 million to Intesa San Paolo and EUR 35 million towards Banca Popolare di Milano. The Group has repaied on June 29, 2016 the previous senior loan fee into those for hedge funds, maturing in September 2017, amounting to EUR 30.4 million.

^OVERDUE DEBT POSITIONS OF THE TISCALI GROUP AS OF 30TH ^JUNE ²⁰¹⁶

On 30th June 2016, overdue trade payables, net of payment plans negotiated with suppliers, amounted to EUR 53.2 million. There were also overdue financial debts for EUR 1.9 million. There were also overdue tax debts for approximately EUR 14.3 million. There were no overdue debts towards the employees.

^POSSIBLE REACTION OF THE CREDITORS OF THE ^GROUP AT 30TH ^JUNE ²⁰¹⁶

As of 30th June 2016, there were solicitations for payment only within the ordinary course of business. On that date the injunctions for payment received by the Company and not paid off because still in negotiation or opposition, amounted to a total of EUR 4.6 million, while the total orders received amounted to EUR 4.6 million.

There have been no suspensions of supply relationships which affected the course of business.

^RELATIONSHIPS WITH RELATED PARTIES OF TISCALI S.P.A. AND TISCALI GROUP

The Tiscali Group holds relationships with related parties on terms deemed customary in the respective reference markets, taking into account the characteristics of goods and services provided.

In the table below are summarised the economic and asset values for the Group Tiscali as of 30th June 2016 arising from transactions with related parties.

(1) Racugno Law Firm: the director Gabriele Racugno, member of the Board of Directors of Tiscali S.p.A since December 21st 2009, offers to Tiscali Italia S.p.A legal assistance, judicial and extrajudicial;

(2) Monteverdi s.r.l. company owned by the majority shareholder Renato Soru. The report in question refers to a lease of space used for the storage of business documentation.

It is noted that the economic and financial values represented in the above table do not include the fees paid to directors, statutory auditors and key managers.
