Cagliari, 5 settembre 2016

L'Assemblea dei Soci di Tiscali riunitasi oggi a Cagliari in unica convocazione ha approvato l'emissione da parte di Tiscali S.p.A. di un prestito obbligazionario convertibile e convertendo non garantito di massimi 18,5 milioni di Euro riservato a investitori qualificati e destinato, tra l'altro, a rifinanziare l'indebitamento del Gruppo nei confronti di Rigensis Bank AS con scadenza a marzo 2018. Il prestito obbligazionario avrà una durata di 4 anni, un tasso cedolare del 7% e un prezzo fisso stabilito in Euro 0,06 per azione per la conversione delle obbligazioni in azioni ordinarie della Società.

L'assemblea ha inoltre approvato la proposta di aumento di capitale sociale, a pagamento e in via inscindibile, con esclusione del diritto di opzione ai sensi dell'art. 2441, comma 5, cod. civ., per un importo complessivo massimo, comprensivo di sovrapprezzo, di 18,5 milioni di Euro da liberarsi in una o più volte, mediante emissione di massime n. 308.333.333 azioni ordinarie della società, a servizio della conversione del prestito obbligazionario.

TISCALI SHAREHOLDERS' MEETING HAS APPROVED ALL ITEMS IN THE AGENDA

Tiscali Shareholders' Meeting, which met today in sole calling, has approved the issuance by Tiscali S.p.A. of an unsecured convertible bond for a maximum of EUR18.5 million reserved to qualified investors and dedicated, among other things, to refinance the indebtness of the Group vis-à-vis Rigensis Bank due to expire at the end of March 2018. The Bond, whose issuance and related capital increase have been approved today, will have a duration of 4 years, a note rate of 7% and a fixed price of EUR 0.06 per stock for the conversion of the bond in ordinary shares of the Company.

The Shareholders' Meeting also approved the proposal to increase the share capital, by payment and indivisible, with exclusion of option rights pursuant to art. 2441, paragraph 5, civil code, for a maximum total amount, including share premium, of EUR 18.5 million in one or more tranches, by issuing up to no. 308,333,333 ordinary shares of the company, to the service of the conversion of the bond.
