POSTE ITALIANE: THE BOARD OF DIRECTORS ESTABLISHES THE "RELATED PARTY AND CONNECTED PARTY" COMMITTEE AND REDEFINES THE COMPETENCE AND THE COMPOSITION OF THE OTHER BOARD COMMITTEES

Rome, 15 September 2016 – The Board of Directors of Poste Italiane S.p.A., which convened today under the chairmanship of Luisa Todini, established the new "Related Party and Connected Party" Board Committee – entirely made up of independent Directors – which is due to become operational on 1st October 2016. The Committee will be attributed the functions and competences laid down in the regulations currently in force for operations with Poste Italiane's related parties and connected parties. Up to now, these tasks had been performed by the "Control and Risk" Committee, which remains competent for the provisions made under the Corporate Governance Code of listed companies and the Supervisory Provisions of Bank of Italy on internal audits and risk management operations.

In consideration of the foregoing therefore, the Board also proceeded to determine the new composition of the Board Committees, also to be put into effect on 1st October 2016, to be the following:

• "Control and Risk" Committee: Umberto Carlo Maria Nicodano (Chair), Chiara Palmieri, Filippo Passerini, Roberto Rao;
• "Remuneration" Committee: Filippo Passerini (Chair), Elisabetta Fabri, Mimi Kung;
• "Nomination" Committee: Roberto Rao (Chair), Giovanni Azzone, Chiara Palmieri;
• "Related Party and Connected Party" Committee: Giovanni Azzone (Chair), Mimi Kung, Roberto Rao
