SPIN OFF BUSINESS UNIT SYSTEMS

Bologna, 23 settembre 2016 - Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL), società quotata presso il Mercato Telematico Azionario – Segmento Star – organizzato e gestito da Borsa Italiana S.p.A. ("Datalogic") e leader mondiale nei settori dell'acquisizione automatica dei dati e dell'automazione industriale e produttore di lettori di codici a barre, mobile computer, sensori per la rilevazione, misura e sicurezza, sistemi di visione e marcatura laser, annuncia l'intenzione di procedere con un cd. Spin Off della propria Business Unit Systems.

Il razionale sotteso all'operazione risiede essenzialmente nel fatto che il modello di business di tale BU incentrato nella fornitura di sistemi integrati per il mondo postale e retail - è significativamente differente rispetto a quello della divisione Industrial Automation (più incentrato sulla vendita di prodotto), di cui la BU Systems è attualmente parte.

L'operazione prevede la costituzione, da parte di Datalogic Automation Inc. (controllata americana della Società), di una cd. newco - Solution Net Systems, Inc., con sede a Quakertown, Pennsylvania (USA) - a cui verranno conferiti tutti gli assets relativi alla BU Systems.

Il cd. "go live" dell'operazione è previsto per il prossimo 1 °ottobre 2016. Da tale data, pertanto, Solution Net Systems, Inc. fornirà ai clienti del Gruppo Datalogic soluzioni integrate di distribuzione automatizzata per il mondo postale e retail, in precedenza fornite dalla Business Unit Systems della divisione Industrial Automation.

SPIN OFF BUSINESS UNIT SYSTEMS

Bologna, 23 September 2016 - Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL), a company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A. ("Datalogic"), a global leader in Automatic Data Capture and Industrial Automation markets, and world-class producer of bar code readers, mobile computers, sensors for detection, measurement and safety, vision systems and laser marking equipment, hereby announces its intention to undertake the Spin Off of its Business Unit Systems.

The rational behind this transaction substantially consists in the fact that the business model of the said Business Unit - focused on the supply of integrated systems for the postal and retail market - is significantly different from the one of the Industrial Automation Division (more focused on the sales of products) of which the Business Unit has been part so far.

The transaction provides for the set up, by Datalogic Automation Inc. (US subsidiary of the Company), of a newco - Solution Net Systems, Inc, headquartered in Quakertown, Pennsylvania (USA) - in which the assets related to the Business Unit Systems will be contributed.

The "go live" of the transaction is foreseen on October 1st, 2016. As from such date therefore Solution Net Systems, Inc. will supply to the customers of Datalogic Group the integrated solutions of automatic distribution for the postal and retail market which were previously supplied by the Industrial Automation Division.
