CONSOB APPROVA IL DOCUMENTO PER L'OFFERTA PUBBLICA DI ACQUISTO TOTALITARIA SU ALERION

Si riproduce di seguito, per conto della controllata Eolo Energia S.r.l. il comunicato relativo all'avvenuta approvazione del Documento di Offerta da parte di CONSOB.

CONSOB HA APPROVATO IL DOCUMENTO DI OFFERTA RELATIVO ALL'OFFERTA PUBBLICA DI ACQUISTO VOLONTARIA TOTALITARIA PROMOSSA DA EOLO ENERGIA S.R.L. SULLE AZIONI ORDINARIE DI ALERION CLEAN POWER S.P.A.

Milano, 27 ottobre 2016 – Facendo seguito ai comunicati stampa del 12 ottobre 2016 e del 13 ottobre 2016 Eolo Energia S.r.l. (l'"Offerente") rende noto che la CONSOB, con delibera n. 19769 del 26 ottobre 2016, ha approvato, ai sensi dell'art. 102, comma 4, del D.Lgs. 24 febbraio 1998, n. 58 (il "TUF"), il documento di offerta (il "Documento di Offerta") relativo all'offerta pubblica di acquisto volontaria (l'"Offerta") promossa dall'Offerente, ai sensi e per gli effetti degli articoli 102 e 106, comma 4, del TUF, sulla totalità delle azioni ordinarie di Alerion Clean Power S.p.A. (l'"Emittente"), pari a n. 43.579.004, negoziate sul mercato telematico azionario organizzato e gestito da Borsa Italiana S.p.A. ("Borsa Italiana" ) al prezzo di euro 2,46 per azione.

Il periodo di adesione all'Offerta concordato con Borsa Italiana avrà inizio il giorno 31 ottobre 2016 e terminerà il giorno 2 dicembre 2016, estremi inclusi (salvo proroghe, in conformità alle disposizioni vigenti), a condizione che il Documento di Offerta includa il comunicato dell'Emittente, di cui agli artt. 103, comma 3, del TUF e 39 del regolamento approvato dalla CONSOB con delibera del 14 maggio 1999, n. 11971, come successivamente modificato e integrato.

Il corrispettivo sarà pagato agli aderenti all'Offerta il quinto giorno di borsa aperta successivo alla chiusura del periodo di adesione e, pertanto, il 9 dicembre 2016 (salvo proroghe, in conformità alle disposizioni vigenti).

Per ogni informazione di dettaglio sull'Offerta, nonché sulle modalità di adesione alla stessa si fa rinvio al Documento di Offerta, della cui pubblicazione sarà data informativa mediante apposito comunicato.

CONSOB APPROVES THE DOCUMENT RELATING TO THE PUBLIC TENDER OFFER ON ALERION

Here below, on behalf of the subsidiary Eolo Energy srl, the press release on Consob's approval of the Offering Document.

CONSOB APPROVED THE OFFERING DOCUMENT RELATING TO VOLOUNTARY TENDER OFFER PROMOTED BY EOLO ENERGY S.R.L. ON THE ORDINARY SHARES OF CLEAN POWER ALERION S.P.A.

Milan, October 27, 2016 – With regard to the press releases issued on October 12 and 13, 2016, Eolo Energia S.r.l. (the "Offeror") announces that Consob, with resolution of October 26 2016 No. 19769, approved, pursuant to article 102, paragraph 4 of Legislative Decree of February 24, 1998, No. 58 (the "TUF"), the offering document (the "Offering Document") relating to the voluntary public tender offer (the "Offer") promoted by the Offeror, pursuant to articles 102 and 106, paragraph 4 TUF, on all the ordinary shares of Alerion Clean Power S.P.A. (the "Issuer"), which corresponds to No. 43.579.004 ordinary shares listed on the Electronic Stock Market organized and managed by Borsa Italiana S.p.A. ("Borsa Italiana" ) at a price of 2.46 euro for share.

The acceptance period of the Offer, agreed with Borsa Italiana, will begin on 31 October 2016 and will end on 2 December 2016, extremes included (subject to extensions in accordance with requirements) providing that the Offering Document includes the Issuer's statement in accordance with Article 103, paragraph 3 TUF and 39 of Regulation adopted by Consob with resolution no. 11971 of 14 May 1999, as subsequently amended and supplemented.

The cash consideration will be paid to shareholders tendering in the Offer on the fifth stock exchange opening day following the end of the acceptance period, i.e. on 9 December 2016 (subject to extensions in accordance with the applicable dispositions).
