DATALOGIC CALENDARIO EVENTI SOCIETARI 2017

Bologna, 20 dicembre 2016 - Datalogic S.p.A. (Società quotata presso il Mercato Telematico Azionario, Segmento Star, organizzato e gestito da Borsa Italiana S.p.A.) informa che, nel corso dell'esercizio 2017, sono programmate le seguenti riunioni del Consiglio di Amministrazione:

• 9 Marzo 2017 (progetto di bilancio d'esercizio chiuso al 31 dicembre 2016);
• 12 Maggio 2017 (resoconto intermedio di gestione al 31 marzo 2017);
• 3 Agosto 2017 (resoconto intermedio di gestione al 30 giugno 2017);
• 13 Novembre 2017 (resoconto intermedio di gestione al 30 settembre 2017).

La riunione dell'Assemblea degli azionisti chiamata, tra l'altro, ad approvare la relazione finanziaria annuale al 31 dicembre 2016 è in programma per il giorno 4 maggio 2017.

Il D.lgs. 25/2016, che ha recepito la Direttiva 2013/50/UE (recante modifiche alla Direttiva 2004/109/CE, c.d. Direttiva Transparency), ha eliminato l'obbligo per gli emittenti quotati con sede in Italia di pubblicare i resoconti intermedi di gestione ed ha attribuito a CONSOB la facoltà di richiedere ai predetti emittenti di pubblicare "informazioni finanziarie periodiche aggiuntive".

In tal senso, CONSOB ha emanato il nuovo art. 82-ter del regolamento emittenti, che entrerà in vigore il 2 gennaio 2017, il quale consentirà agli emittenti di continuare a comunicare al pubblico – esclusivamente su base volontaria - "informazioni finanziarie periodiche aggiuntive" rispetto alla relazione finanziaria annuale e semestrale, ciò in conformità ai principi e criteri applicativi stabiliti dalla norma in questione.

Con riferimento agli emittenti quotati presso il segmento STAR del mercato MTA, si rammenta che il Regolamento di Borsa Italiana (in cui rientra Datalogic) prevede comunque il rispetto di ulteriori specifici requisiti di trasparenza informativa, liquidità e corporate governance. In particolare, l'art. 2.2.3., c. 3, del Regolamento prevede l'obbligo pergli emittenti STAR, quale Datalogic, di mettere a disposizione del pubblico il resoconto intermedio di gestione entro quarantacinque giorni dal termine del primo, terzo e quarto trimestre dell'esercizio, fermo restando l'esonero dall'obbligo di pubblicazione del quarto resoconto qualora i predetti emittenti mettano a disposizione del pubblico, entro novanta giorni dalla chiusura dell'esercizio, la relazione finanziaria annuale unitamente agli altri documenti di cui all'articolo 154-ter, c. 1, del D.lgs. 58/1998 ("TUF").

Con avviso n. 7587 del 21 aprile 2016, Borsa Italiana S.p.A. ha poi chiarito che l'art. 2.2.3, comma 3, continuerà a trovare applicazione nei confronti degli emittenti STAR.

Conseguentemente, la Società continuerà a mettere a disposizione del pubblico i resoconti intermedi di gestione in conformità a quanto finora avvenuto, facendo in particolare riferimento alle disposizioni dell'art. 154-ter, c. 5, del TUF vigenti anteriormente al recepimento dalla Direttiva 2013/50/UE, e si conformerà ai principi e criteri applicativi indicati dal nuovo art. 82-ter del regolamento emittenti.

2017 - DATALOGIC CORPORATE CALENDAR

Bologna, 20th December 2016 - Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL), a company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A. ("Datalogic"), announces that during 2017 year, the following meetings of the Board of Directors are planned:

• 9 March 2017 (draft financial statement as of December 31st 2016);
• 12 May 2017 (2017 First Quarter Report);
• 3 August 2017 (2017 First Half Report);
• 13 November 2017 (2017 Third Quarter Report).

The general shareholders meeting to be held, among the others, for approving the annual financial report as of 31st of December 2016 is planned for May 4th, 2017.

Legislative Decree No. 25/2016, which transposes Directive 2013/50/EC (implementing amendments to Directive 2004/109/EC - the "Transparency Directive"), removed the obligation upon listed issuers in Italyto publish their interim reports and granted CONSOB the option to require such issuers to publish "additional periodic financial disclosure". In this respect, CONSOB added the new Article 82-ter to the Issuer's Regulation, to be applied from January 2, 2017, which expressly permits issuers to continue to communicate to the market - entirely on a voluntary basis - "additional periodic financial disclosure" to the annual and half-year reports, in compliance with the principles and application criteria set out by the provision in question.

With particular regard to issuers trading on the STAR segment of the MTA market managed by Borsa Italiana S.p.A., it is noted that the Borsa Regulation (on which Datalogic is listed) however establishes specific and further requirements in terms of disclosure, liquidity and corporate governance. In particular, Article 2.2.3., paragraph 3 of the Borsa Regulation requires STAR issuers, like Datalogic, to make available to the market their interim reports within forty-five days from the conclusion of the first, third and fourth quarters of the year, while the above-stated issuers are exempted from publication of the fourth quarter report where they make available to the market their annual financial report, together with the other documents required by Article 154-ter, first paragraph of Legislative Decree No. 58/1998 ("TUF"), within ninety days from year-end.

With notice No. 7587 of April 21, 2016, Borsa Italiana S.p.A. clarified that Article 2.2.3., paragraph 3, will continue to be applied to STAR issuers.

Consequently, Datalogic will continue to make available to the market their interim reports, as has occurred to date, making particular reference to the provisions of Article 154-ter, paragraph 5 of the TUF in force prior to transposition of Directive 2013/50/EC. In addition, Datalogic is required to comply with the principles and application criteria indicated by the new Article 82-ter of the Issuer's Regulation.
