EXPRIVIA: RAGGIUNTA INTESA PRELIMINARE CON ITALTEL SU PROGETTO ACQUISIZIONE QUOTA DI MAGGIORANZA

22 dicembre 2016. Exprivia - società quotata al segmento STAR di Borsa Italiana [XPR.MI] – informa che è stata raggiunta con Italtel una intesa preliminare su una operazione che prevede l'investimento di Exprivia nel capitale di Italtel per una quota di maggioranza, nel contesto di una più ampia operazione di rilancio industriale di Italtel.

L'intesa raggiunta riguarda le linee guida dell'operazione proposte da Italtel e approvate in data odierna dal CDA di Exprivia e la conseguente estensione dell'esclusiva nelle negoziazioni fino al 3 marzo 2017, per la definizione dei necessari accordi vincolanti e la loro approvazione da parte dei principali stakeholder che le parti si sono poste come obbiettivo di firmare entro tale data.

L'interesse di Exprivia per l'operazione Italtel risiede nella convinzione che la convergenza fra Telco e IT costituisce il driver dei processi della trasformazione digitale.

Grazie alla significativa presenza sui mercati nazionali e internazionali, al portafoglio di offerta arricchito anche dagli ulteriori sviluppi congiunti, alle sinergie che le due Società potrebbero generare e infine ai significativi contributi finanziari e patrimoniali previsti dell'operazione, che inciderebbero ulteriormente sulla capacità competitiva, il piano industriale prevede uno sviluppo solido e di lungo periodo.

L'integrazione fra una società giovane e dinamica come Exprivia, specializzata nella consulenza di processo, nei servizi tecnologici e nelle soluzioni di Information Technology, e un operatore industriale che vanta oltre 90 anni di storia come Italtel, nella progettazione e realizzazione di prodotti e soluzioni per le telecomunicazioni, offrirebbe al mercato nazionale e internazionale un soggetto unico in grado di portare nuovo valore all'intero mercato.

L'operazione Exprivia Italtel si inserisce nel percorso di crescita tracciato dal piano industriale di Exprivia 2015 - 2020 che trova convergenza e ulteriore arricchimento con la strategia di Italtel.

EXPRIVIA: PRELIMINARY AGREEMENT REACHED WITH ITALTEL ON THE MAJORITY STAKE ACQUISITION

December, 22 2016. Exprivia - a company listed on the STAR segment of Borsa Italiana [XPR.MI] - informs that has been reached with Italtel a preliminary agreement on a transaction involving the investment of Exprivia in the capital of Italtel for a majority stake in the context of a wider operation of Italtel industrial relaunch.

The agreement concerns the operation guidelines proposed by Italtel and approved today by the Board of Directors of Exprivia and the consequent extension of exclusive negotiations until March 3, 2017, for the definition of the necessary binding agreements and their approval by the key stakeholders that the parties have set as a goal to sign by that date.

The interest of Exprivia for Italtel operation lies in the belief that the convergence between Telco and IT is the driver of the digital transformation processes.

Thanks to the significant presence on the national and international markets, the product portfolio also enriched by the further joint development, the synergies that the two companies could generate and ultimately to significant financial and capital contributions provided for means the operation, which would affect further the competitive capacity, the business plan provides a solid and long-term development.

The integration of a young and dynamic company like Exprivia, specialized in process consulting, technology services and information technology solutions, and an industrial operator with over 90 years' history as Italtel, in design and development of telecommunications products and solutions, would offer to national and international arena a single entity able to bring new value to the market.

The operation Exprivia Italtel is part of the track growth path of the 2015-2020 Exprivia' business plan for which joins convergence and further enrichment with Italtel's strategy.
