Verona, 17 March 2017 – Further to the news releases published on 10 February, 28 February and 8 March 2017, we herewith inform you that, in compliance with applicable laws, with regard to the Ordinary Shareholders' Meeting of Banco BPM S.p.A. ("Banco BPM") to be convened on 8 April 2017, the following documents are made available to the public at the Corporate Head Office of Banco BPM, at Borsa Italiana S.p.A., as well as on the website of the authorized central storage mechanism :

• 1. Annual Report as at 31 December 2016 of former Banco Popolare Società Cooperativa ("BP"), including the draft financial statements and the consolidated financial statements of former Gruppo Banco Popolare, as well as the documents and reports required by current regulations;
• 1. Annual Report as at 31 December 2016 of former BPM S.c.ar.l. ("BPM"), including the draft financial statements and the consolidated financial statements of former Gruppo BPM, as well as the documents and reports required by current regulations,

both including the proposal to be submitted to the Shareholders to carry forward the net loss (resulting from the sum of BP and BPM's bottom lines) amounting to Euro 1,242,975,323;

• 1. Report of the Statutory Auditors, in compliance with art. 153 Lgs.D. no. 58/1998, regarding BP;
• 1. Report of the Statutory Auditors, in compliance with art. 153 Lgs.D. no. 58/1998, regarding BPM;
• 1. Report on compensation, prepared in compliance with art. 123-ter Lgs.D. no. 58/1998 and art. 84-quater Consob Resolution 11971/1999, and with the Supervisory Provisions concerning incentive and remuneration policies and practices;
• 1. Report on corporate governance and ownership structure as at 31 December 2016, prepared in compliance with art. 123-bis Lgs.D. no. 58/1998.
