COMUNICATO STAMPA MONDO TV: Comunicazione di variazione del capitale sociale

20 aprile 2017 – Mondo TV S.p.A. comunica, ai sensi dell'art. 98 della delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e dell'art. IA.2.3.4 delle Istruzioni Borsa Italiana S.p.A., la nuova composizione del capitale sociale interamente sottoscritto e versato, a seguito delle emissioni di nuove azioni in virtù delle conversioni operate da Pelham Bay, nell'ambito dell'accordo di investimento stipulato dalla Società con Atlas come da comunicato stampa del 18 luglio 2016.

Come già comunicato rispettivamente in data 22 e 30 marzo 2017, l'emissione ha riguardato un totale di n. 254.919 azioni ordinarie del valore nominale di euro 0,50 ciascuna, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data della loro rispettiva emissione.

L'attestazione dell'avvenuta esecuzione dell'aumento di capitale sociale è stata depositata presso il Registro delle Imprese di Roma (ex articolo 2444 del Codice Civile).

Si rammenta infine che residuano ulteriori 8 Bond da convertire in base alla seconda tranche mentre rimane interamente da convertire la terza tranche costituita da 18 Bond.

PRESS RELEASE MONDO TV: Notification of Change of Company's capital

20 April 2017 – Pursuant to Section 98 of CONSOB decision n. 11917 dated May 14, 1998 and section IA.2.3.4 of the Instructions to the Market Regulation issued by Borsa Italiana S.p.A., Mondo TV S.p.A. (the "Company") informed about the new Company's capital, issued and paid, in connection with the issue of new shares subsequent to the conversions made by Pelham Bay within the investment agreement entered into by the Company with Atlas as per press release dated 18 July 2016.

As already communicated respectively on 22 and 30 March 2017, the issuance was related to n. 254,919 ordinary shares, each of nominal value equal to Euros 0,50, having the same characteristics and rights of those already circulating at the date of its issuing.

The relevant declaration pursuant to section 2444 of the Italian Civil Code has been filed today with the Company' Register in Rome.

It is highlighted that further 8 bonds of the second tranche remain to be converted, and the third tranche made of 18 bonds is also outstanding.
