Milan, 26th April 2017 – The Ordinary Shareholders' Meeting of Dominion Hosting Holding S.p.A. ("DHH") (DHH.MI | WDHH21.MI) (ISIN shares , convened today, has:

• approved the financial statements as of 31st December 2016 and resolved to cover the losses equal to Euro 521.812,73 through the use of the Share Premium Reserve. The Shareholders' Meeting has also aknowledged the 2016 consolidated financial statements of the group headed by DHH S.p.A.;

• appointed Dr. Guido Busato as independent director of the Company;

• resolved upon an attendance fee of Euro 500,00 for each director for each meeting of the Board of Directors they will

attend;

• renewed the authorization for the purchase and sale of treasury shares.

APPROVAL OF THE FINANCIAL STATEMENTS AND APPOINTMENT OF GUIDO BUSATO AS INDEPENDENT DIRECTOR

Milan, 26th April 2017 – The Ordinary Shareholders' Meeting of Dominion Hosting Holding S.p.A. ("DHH") (DHH.MI | WDHH21.MI) (ISIN shares IT0005203622 | ISIN warrants IT0005203689), convened today, has:

• approved the financial statements as of 31st December 2016 and resolved to cover the losses equal to Euro 521.812,73 through the use of the Share Premium Reserve. The Shareholders' Meeting has also aknowledged the 2016 consolidated financial statements of the group headed by DHH S.p.A.;
• appointed Dr. Guido Busato as independent director of the Company;
• resolved upon an attendance fee of Euro 500,00 for each director for each meeting of the Board of Directors they will attend;
• renewed the authorization for the purchase and sale of treasury shares.

The documents concerning Dr. Guido Busato, including his CV and the statement on independence requirements being met by the same, are available on the website of the Company (www.dominion.it).

The Board of Directors, upon its first meeting, shall verify that the requirements of independence have been met by the appointed independent director on the basis of the information provided by Dr. Busato and shall announce the result of this assessment.

The minutes of the Ordinary Shareholders' Meeting will be made available to the public to the extent and when established by current laws and regulations.

By way of update, further to the press release distributed on 10 February 2017 with reference to the acquisition involving DHH, Bee Bee Web SA and the Italian reseller of the latter, it is also communicated that such transaction will be finalized, as to the sale (for a percentage equal to 70% of the corporate capital of Bee Bee Web and 100% of the corporate capital of the Italian reseller), by 15 May 2017 and, as to the contribution in kind, by the approval of DHH financial statements 2017.
