COMPLETATA L'INTEGRAZIONE DI HERMANOS FERNANDEZ LÓPEZ

• ❖ Eseguiti il conferimento e la compravendita di azioni ordinarie Hermanos Fernández López S.A., pari al 50% del suo capitale sociale
• ❖ Il Gruppo Orsero viene a detenere l'intero capitale sociale di Hermanos Fernández López S.A.

Milano, 25 settembre 2017. Facendo seguito a quanto comunicato in data 27 luglio e 15 settembre 2017, Orsero S.p.A. ("Orsero" o la "Società") rende noto che in data odierna è stata completata la piena integrazione di Hermanos Fernández Lopez S.A. ("HFL") nel Gruppo Orsero.

Sono stati infatti eseguiti il conferimento in favore di Orsero di n. 2.948 azioni ordinarie HFL, pari al 34,21% del capitale sociale, detenute da Grupo Fernández S.A. ("Grupo Fernández") – a valere sull'aumento di capitale di Orsero riservato a Grupo Fernández deliberato dall'Assemblea degli Azionisti dello scorso 15 settembre – e l'acquisto da parte della controllata GF Distribuzione S.r.l. di n. 1.360 azioni ordinarie di HFL, pari al 15,79% del capitale sociale di HFL, anch'esse detenute da Grupo Fernández.

A fronte del conferimento, in data odierna, è stato quindi eseguito il suddetto aumento di capitale con l'emissione di n. 1.000.000 nuove azioni ordinarie della Società, a un prezzo di Euro 13,00 cadauna (comprensivo di sovrapprezzo).

Per effetto del conferimento, Grupo Fernández verrà a detenere una partecipazione nella Società pari al 5,66%, soggetta a vincolo di lock-up.

INTEGRATION OF HERMANOS FERNANDEZ LÓPEZ FINALIZED

Milan, 26 September 2017. Further to the communication on 27 July and 15 September 2017, Orsero S.p.A. ("Orsero" or the "Company") informs that, today, it has been completed the full integration of Hermanos Fernández Lopez S.A. ("HFL") within Orsero Group has been completed.

In fact, they have been executed the contribution to Orsero of n. 2.948 ordinary shares HFL has been executed, equal to 34,21% of the share capital, held by Grupo Fernández S.A. ("Grupo Fernández") – related to the capital increase of Orsero reserved to Grupo Fernández and approved by the Shareholders' Meeting on 15 September 2017 – and the purchase by the subsidiary GF Distribuzione S.r.l of n. 1.360 ordinary shares HFL, equal to 15,79% of the share capital, the latter also held by Grupo Fernández.

Hence, as a result of the contribution, today the aforesaid capital increase was executed by means of the issue of n. 1.000.000 new ordinary shares of the Company, with a price of Euro 13.00 each (including premium).

As a consequence of the contribution, Grupo Fernández will hold a shareholding of the Company equal to 5,66%, subject to a lock-up agreement.
