Successful completion of the acquisition of 70% of Wilderness Trail Distillery

Bank term loan financing for USD420 million

Milan, December 7 th , 2022-Campari Group announces today the successful completion of the acquisition of 70% of Wilderness Trail Distillery. The deal, originally announced on October 31st, 2022, was closed according to the terms of the acquisition agreement as previously disclosed. The consideration paid amounted to USD424.7 million (or €405.8 million at today's exchange rates) for the initial 70% of the outstanding capital, including price adjustments attributable to cash and net working capital. The corresponding enterprise value for 100% of the outstanding capital is USD600 million (or €573.4 million at today's exchange rates), on a cash free/debt free basis. As previously disclosed, Campari Group will acquire the remaining 30% of the outstanding capital subject to a call/put option exercisable in 2031.

Concomitantly, leveraging its excellent business and financial profile, Campari Group decided to maximise the fund raising at favourable conditions for the acquisition financing, thus optimising the available cash for investing in the existing US business as currently planned. On November 30th, 2022, a term loan for a total amount of USD420 million was entered into, with a floating interest rate, an amortizing plan and a final maturity date on December 6 th , 2027. The financing was granted to Campari America LLC, the US wholly owned subsidiary of Davide Campari-Milano N.V., by a pool of leading financial institutions composed of Bank of America, BNP Paribas (Italian Branch), Crédit Agricole Corporate and Investment Bank (Milan Branch) and Cassa Depositi e Prestiti S.p.A. Allen & Overy acted as legal advisors to Campari Group and Clifford Chance acted as legal advisors to the Mandated Lead Arrangers and Lenders on the term loan transaction.
