Convening of the Extraordinary and Ordinary Shareholders' Meeting

Bagno a Ripoli, March 14th 2018.

The Board of Directors resolved to convene the Shareholders' Meeting of the Company in Extraordinary and Ordinary Session in a single call on April 26th, 2018 with the following agenda:

Extraordinary session

1) Amendments to the Articles of Association. Related and consequent resolutions.

Ordinary session

1) Annual and Consolidated Financial Statements as at December 31, 2017. Related and consequent resolutions;

2) Remuneration report pursuant to Art. 123-ter of Legislative Decree No. 58/98. Related and consequent resolutions;

3) Appointment of the Board of Directors and determination of the number of directors. Determination of directors' term of office and compensation. Related and consequent resolutions;

4) Appointment of the Board of Statutory Auditors and determination of their remuneration. Related and consequent resolutions;

5) Authorization for the purchase and sale of treasury. Related and consequent resolutions.

The Shareholeder's Meeting notice and documentation will be available according to the terms and procedures established by law.
