Notice of publication of documents

Milan, 16 March 2018 – Further to the news releases published on 7 February, 27 February and 7 March 2018 and in connection with the Ordinary and Extraordinary Shareholders' Meeting of Banco BPM S.p.A. ("Banco BPM") to be held in a single call on 7 April 2018, we herewith inform that, in compliance with current regulations, the following documents are made available to the public at the Corporate Head Office of Banco BPM, at Borsa Italiana S.p.A., as well as on the website of the authorized central storage mechanism :

• 1. Annual Report as at 31 December 2017 of Banco BPM, including the draft financial statements of the parent bank and the consolidated financial statements of Banco BPM Group, as well as the documents and reports required by current regulations;
• 1. Report of the Statutory Auditors, in compliance with art. 153 Lgs.D. no. 58/1998;
• 1. Report on compensation, prepared in compliance with art. 123-ter Lgs.D. no. 58/1998 and art. 84-quater Consob Resolution 11971/1999, and with the Supervisory Provisions of Bank of Italy concerning incentive and remuneration policies and practices;
• 1. Report on proposals to amend the Articles of Association;
• 1. Report on corporate governance and ownership structure, prepared in compliance with art. 123-bis Lgs.D. no. 58/1998;
• 1. Consolidated Non-Financial Statement prepared in compliance with Lgs.D. no. 254/2016 and Consob Resolution 20267 dated 18 January 2018.
