Press release BOARD OF DIRECTORS

Verona, 19 April 2018 - In an afternoon meeting held after the morning's Shareholders' meeting, the Board of Directors, all of its members present:

• Appointed Giovanni Castellaneta as Chairman of the Board of Directors and Andrea Mangoni as Chief Executive Officer, with all the powers previously conferred on him.
• Established, among its members, the following committees:
• ✓ Appointments Committee, made up of the following Directors: Giovanni Lo Storto (Chairman), Giovanni Battista Dagnino, Giovanni Castellaneta;
• ✓ Risk and Transactions with Connected Persons Committee, made up of the following Directors: Giovanni Battista Dagnino (Chairman), Nunzio Guglielmino, Paola Bruno;
• ✓ Remuneration Committee, made up of the following Directors: Nunzio Guglielmino (Chairman), Giovanni Lo Storto, Francesco Colasanti.

The verification of honourability, professionalism and independence requirements of the Directors will be carried out by the Board of Directors in the next suitable meeting, by the statutory terms.

The Board of Directors confirmed Mauro Goatin as Manager responsible for preparing the corporate accounting documents for a three-year period.
