Avviso di deposito del progetto di fusione per incorporazione in Esprinet S.p.A. delle società interamente controllate EDSlan S.r.l. e Mosaico S.r.l.

Vimercate (Monza Brianza), 30 maggio 2018 – Si rende noto che in data odierna è stato depositato presso il Registro Imprese di Milano, Monza Brianza, Lodi il progetto di fusione per incorporazione in Esprinet S.p.A. delle società interamente controllate EDSlan S.r.l. e Mosaico S.r.l. Gli azionisti di Esprinet S.p.A. (in quanto società incorporante) che rappresentino almeno il cinque per cento del capitale sociale potranno richiedere, ai sensi dell'articolo 2505, terzo comma, del Codice Civile, con domanda indirizzata a Esprinet S.p.A. entro otto giorni dal deposito del progetto di fusione presso il Registro delle Imprese di Milano, Monza Brianza e Lodi, che la decisione in ordine alla fusione sia adottata da parte di Esprinet mediante deliberazione assembleare.

Il progetto di fusione è disponibile al pubblico presso la sede sociale in Vimercate (MB), Via Energy Park n. 20, sul sito internet www.esprinet.com, sezione Investor Relations nonché pubblicato presso il meccanismo di stoccaggio eMarket Storage all'indirizzo unitamente ai bilanci chiusi al 31 dicembre 2017 delle società coinvolte nell'operazione di fusione.

Presso la sede sociale e sul sito internet www.esprinet.com sono altresì disponibili i bilanci degli ultimi tre esercizi di Esprinet S.p.A. e al 31 dicembre 2016 delle società controllate EDSlan S.r.l. e Mosaico S.r.l., in quanto costituite nel 2016.

Notice of filing of the draft terms of merger by incorporation in Esprinet S.p.A. of the subsidiaries EDSlan S.r.l. and Mosaico S.r.l.

Vimercate (Monza Brianza), 30 May 2018 - Esprinet informs that the draft terms of merger by incorporation of the wholly-owned subsidiaries EDSlan S.r.l. and Mosaico S.r.l. in Esprinet S.p.A. was today filed with the Companies Register of Milano, Monza Brianza, Lodi.

Pursuant to article 2505, third paragraph of the Civil Code, the shareholders of Esprinet S.p.A. (as merging company) representing at least five percent of the share capital to make a request addressed to Esprinet S.p.A. within eight days from the filing of the merger project with Companies Registers of Milano, Monza Brianza and Lodi, that the decision regarding the merger is adopted by Esprinet through AGM resolution.

The draft terms of merger by incorporation is available to the public at the company headquarter in Vimercate, via Energy Park n. 20, on the company web site, www.esprinet.com, Investor Relations section and on the storage system eMarket Storage on the internet address together with the financial statements as at 31 December 2017 of the companies involved in the merger transaction.

The financial statements of Esprinet S.p.A. for the last three financial years are also available at the company headquarter and on the company web site, www.esprinet.com and as at 31 December 2016 of the subsidiaries EDSlan S.r.l. and Mosaico S.r.l., as constituted in 2016.
