Disclosure to the public of the excerpt of the shareholders' agreements

Brugine (PD), June 14, 2018 – Carel Industries S.p.A. ("Carel" or the "Company") gives notice that (i) the shareholders' voting agreement entered into on June 10, 2018 between Luigi Rossi Luciani S.a.p.a. and Luigi Nalini S.a.p.a. in relation to no. 59.750.000 ordinary shares of Carel equal to 59.75% of the entire share capital of the Company and 74.80% of its voting share capital (the "Shareholders' Voting Agreement") and (ii) the regulation of the joint ownership entered into on July 27, 2015 among Cecilia Rossi Luciani, Carlotta Rossi Luciani and Vittorio Rossi Luciani pursuant to which they are joint bare owners with voting rights of 99.99% in the share capital of Luigi Rossi Luciani S.a.p.a. (the "Regulation") have been disclosed to the public as excerpt on the website of the Company www.carel.it, under Investor & Governance/Corporate Governance/ Agreement and on the authorized storage mechanism "eMarketStorage" ().

The Shareholders' Voting Agreement and the Regulation, in their respective entirety, have been noticed to Consob and filed with the Companies Register of Padua on June 14, 2018.
