Saipem: il Consiglio di Amministrazione delibera il rinnovo del Programma EMTN

San Donato Milanese, 17 luglio 2018 – Il Consiglio di Amministrazione di Saipem S.p.A. (la "Società") ha deliberato in data odierna il rinnovo per un anno del programma di emissioni di prestiti obbligazionari non convertibili denominato Euro Medium Term Note Programme (il "Programma EMTN"), istituito con delibera del 27 aprile 2016 per un importo massimo di Euro 2.000 milioni e successivamente rinnovato per un anno ed incrementato per un importo massimo di Euro 3.000 milioni con delibera del 27 giugno 2017. L'importo massimo del Programma EMTN (3.000 milioni di cui 2.000 milioni già emessi) non ha subito variazioni.

Il rinnovo del Programma EMTN consentirà alla Società di continuare a beneficiare della flessibilità tipica di tale strumento nell'eventualità di future emissioni di obbligazioni.

Il Consiglio di Amministrazione ha rinviato a successive delibere l'approvazione delle singole emissioni di titoli nell'ambito del Programma EMTN ai sensi dell'art. 2410 del Codice Civile, nonché la definizione di termini, durata e condizioni e quanto occorrer possa ai fini dell'emissione e del collocamento delle stesse.

Saipem: the Board of Directors approves renewal of EMTN Programme

San Donato Milanese (Milan), 17 July 2018 – The Board of Directors of Saipem S.p.A. (the "Company") approved today the renewal for one year of the programme for the issuance of non-convertible notes, the Euro Medium Term Notes Programme (the "EMTN Programme"), established with a resolution taken on 27 April 2016 for a maximum aggregate amount of Euro 2,000 million and subsequently renewed for one year and increased for a maximum aggregate amount of Euro 3,000 million with a resolution taken on 27 June 2017. The maximum aggregate amount of the EMTN Programme (Euro 3,000 million, of which Euro 2,000 million already issued) has remained unchanged.

The renewal of the EMTN Programme will allow the Company to benefit from the flexibility of such instrument in the event of future bond issues.

The Board of Directors reserved the right to approve any future issuance of notes under the EMTN Programme in compliance with art. 2410 of the Italian Civil Code, as well as their relevant terms, conditions, duration and any other action necessary for their issuance and listing.
