Fusione per incorporazione in Esprinet S.p.A. delle società interamente controllate EDSlan S.r.l. e Mosaico S.r.l.

Vimercate (Monza Brianza), 19 luglio 2018 - Il Consiglio di Amministrazione di Esprinet S.p.A. ha approvato in data odierna, mediante deliberazione risultante da atto pubblico, la fusione per incorporazione delle società interamente controllate EDSlan S.r.l. e Mosaico S.r.l. nella società, secondo i termini di cui al progetto di fusione redatto ai sensi dell'art. 2501-ter e 2505, Codice Civile (breviter "c.c.") e approvato in data 14 maggio 2018, nonché depositato presso il Registro delle Imprese di Milano- Monza-Brianza-Lodi in data 30 maggio 2018.

L'atto di fusione sarà sottoscritto conformemente a quanto disposto dagli articoli 2503 e 2504 c.c..

Gli effetti della fusione decorreranno dal primo giorno del mese successivo a quello in cui verrà eseguita l'ultima delle iscrizioni previste dall'articolo 2504 del Codice Civile. Tuttavia, le operazioni effettuate da EDSlan S.r.l. e Mosaico S.r.l. saranno imputate al bilancio di Esprinet S.p.A., ai soli fini contabili e fiscali ed anche ai anche ai sensi dell'art. 172 del T.U.I.R., a decorrere dal primo giorno dell'esercizio in corso al momento del verificarsi della data di efficacia della fusione.

Merger by incorporation in Esprinet S.p.A. of the wholly owned subsidiaries EDSlan S.r.l. and Mosaico S.r.l.

Vimercate (Monza Brianza), 19 July 2018 - The Board of Directors of Esprinet S.p.A. today approved, through a resolution recorded in a public deed, the merger by incorporation of the wholly-owned subsidiaries EDSlan S.r.l. and Mosaico S.r.l. into the company, in accordance with the terms and conditions of the merger proposal which was drawn up pursuant to art. 2501-ter and 2505 of the (Italian) Civil Code (hereafter "c.c.") and approved on May 14th 2018 in addition to being filed with the Companies Register of Milano-Monza-Brianza-Lodi on May 30th 2018.

The merger deed shall be signed in compliance with articles 2503 and 2504 of the c.c.

The merger will be effective from the first day of the month that follows the date in which the last filing under Art. 2504 of the c.c. is carried out.

However, the transactions carried out by EDSlan S.r.l. and Mosaico S.r.l. will be recognized in the financial statements of Esprinet S.p.A., solely for accounting and tax purposes and also pursuant to article 172 of the Consolidated Income Tax Act, starting from the first day of the current year upon the effective date of the merger.
