11 settembre 2018. Exprivia – società quotata al segmento STAR di Borsa Italiana [XPR.MI] – informa che, agli effetti dell'art. 16 dello Statuto sociale nonché ai sensi degli articoli 2365, 2502 e 2505 del Codice civile, il Consiglio di Amministrazione ha deliberato in data odierna:
a) la fusione per incorporazione in Exprivia S.p.A. di Exprivia Enterprise Consulting S.r.l., società controllata al 100% operante nei mercati dell'Energia principalmente su piattaforma SAP;
b) la fusione per incorporazione in Exprivia S.p.A. di Advanced Computer Systems A.C.S. S.r.l., anch'essa controllata al 100% e operante nel settore dello sviluppo di stazioni terrestri per la ricezione ed elaborazione dei dati satellitari e dei servizi di ingegneria, progettazione e integrazione di sistemi;
secondo le modalità dei rispettivi progetti di fusione approvati il 26 giugno scorso.
In data odierna si sono tenute contestualmente anche le assemblee delle società Exprivia Enterprise Consulting S.r.l. e Advanced Computer System A.C.S. S.r.l., per l'approvazione dei rispettivi progetti di fusione per incorporazione.
La fusione delle due società in Exprivia si pone nel più ampio processo di riorganizzazione societaria del gruppo, volto a semplificarne la struttura e a meglio valorizzarne le sinergie operative, amministrative e societarie.

September 11, 2018. Exprivia - a company listed on the STAR segment of Borsa Italiana [XPR.MI] - informs that, pursuant to art. 16 of the Statuto Sociale and pursuant to articles 2365, 2502 and 2505 of the Italian Civil Code, the Board of Directors today has deliberated:
a) the merger by incorporation of Exprivia Enterprise Consulting S.r.l. into Exprivia S.p.A., a wholly-owned subsidiary operating in the energy markets mainly on the SAP platform;
b) the merger by incorporation of Advanced Computer Systems A.C.S. S.r.l. into Exprivia S.p.A., also 100% owned and operating in the development of satellite earth stations for the reception and processing of satellite data and in the engineering, design and integration systems services;
according to the modalities of the respective merger projects approved on June 26th .
The Board of Directors' meetings of Exprivia Enterprise Consulting S.r.l. and Advanced Computer System A.C.S. S.r.l., for the approval of the respective merger plans by incorporation, were also held today.
The merger of the two companies into Exprivia is part of the wider strategic process of corporate reorganization, aimed at simplifying its structure and at enhancing its operational, administrative and corporate synergies.
