COMUNICATO STAMPA

MONDO TV: emessa la seconda tranche per un totale di 28 bond convertibili per un controvalore di Euro 7.000.000 relativi all'accordo di investimento con Atlas annunciato lo scorso 18 aprile 2018

In data odierna Atlas Special Opportunities ha richiesto la conversione di 10 bond per un valore di Euro 2.500.000

In base al meccanismo contrattuale saranno quindi emesse 713.935 azioni ordinarie Mondo TV

12 settembre 2018 – Si comunica che in data odierna, a seguito della richiesta inviata dalla Mondo TV in data 4 giugno 2018 (cfr. comunicato stampa in pari data) è stata emessa la seconda e ultima tranche di bond di cui al contratto concluso tra la Mondo TV S.p.A. e Atlas Special Opportunities e Atlas Capital Markets di cui ai comunicati emessi in data 18 aprile 2018 e 3 settembre 2018.

Si rammenta che la seconda e ultima tranche ha ad oggetto 28 Bond, per un controvalore complessivo di Euro 7.000.000.

Sempre in data odierna Atlas ha inviato richieste di conversione per 10 dei bond emessi oggi, per un controvalore complessivo di Euro 2.500.000 (due milioni cinquecentomila). Ad esito della conversione odierna risultano ancora da convertire 18 Bond dei 28 emessi, per un controvalore di 4,5 milioni di Euro.

Il numero di azioni oggetto della conversione è stato determinato sulla base del 91% del prezzo medio ponderato dei prezzi per volume delle transazioni qualificanti rilevate da Bloomberg durante tre giorni di borsa selezionati da Atlas all'interno di un periodo di 15 giorni consecutivi di borsa aperta precedenti la ricezione di una Comunicazione di Conversione. Il prezzo così determinato è risultato essere pari a Euro 3,5017 per azione. I Bond oggetto di conversione danno pertanto diritto a sottoscrivere complessive 713.935 azioni ordinarie Mondo TV, pari al 2,0745% del capitale sociale attuale della Mondo TV.

Il valore per azione risultante sul patrimonio netto della Società al 31 marzo 2018, come risultante dal resoconto intermedio di gestione approvato dal Consiglio di Amministrazione in data 14 maggio 2018, risulta essere:

MONDO TV: the second and last tranche for 28 convertible bonds with a principal amount of Euro 7,000,000 were issued under the investment agreement with Atlas announced on last 18 April 2018

Today Atlas Special Opportunities has requested the conversion of 10 bonds for a value of Euro 2,500,000

According to the contractual mechanism, 713,935 Mondo TV ordinary shares will therefore be issued

12 September 2018 – Mondo TV S.p.A. informs that today the second and last tranche of bonds was issued under the agreement entered into with Atlas Alpha Special Opportunities and Atlas Capital Markets and referenced to in the press releases dated 18 April 2018 and 3 September 2018.

The last tranche relates to 28 convertible bonds for a principal amount of Euro 7,000,000.

Furthermore, always today, Atlas issued to Mondo conversion notices for 10 of the Bonds issued today, for a global value of Euros 2.5 million. As a result of today's request for conversion, 18 Bonds remain outstanding out of 28, for a value of Euros 4.5 million.

The number of shares object of the conversions shall be determined on the basis of 91% of the average of three days volume weighted average price of the ordinary shares of Mondo TV S.p.A. as published by Bloomberg, selected by Atlas over the period of fifteen consecutive trading days preceding the Conversion Notice. The price so calculated, resulted equal to Euros 3.5017 per share. The converted Bonds give right to subscribe 713,935 new shares of Mondo TV, equal to 2.0745% of the actual company's capital.

The per share value on the net equity of the Company as of 31 March 2018, as reported in the interim financial statement approved by the Board of Directors on 14 May 2018, results to be as follows:
