Landi Renzo: Fusione per incorporazione di Emmegas S.r.l. in Landi Renzo S.p.A.

Cavriago (Reggio Emilia), 30 ottobre 2018

In data odierna Landi Renzo S.p.A., con atto pubblico di fusione, alla presenza del Notaio Giuseppe Chiantera in Reggio Emilia, ha incorporato la società "Emmegas S.r.l. a socio unico" con sede legale in Cavriago, Via dell'industria, 20, P.IVA, Codice Fiscale e numero di iscrizione al Registro Imprese di RE n. 01545880351, REA n. RE 194276.

L'incorporante Landi Renzo S.p.A. a partire dalla data di efficacia della fusione subentrerà, ai sensi e per l'effetto dell'art. 2504-bis del Codice civile, in tutti i contratti, attivi e passivi di Emmegas S.r.l. strumentali allo svolgimento dell'attività di impresa.

Il CEO Cristiano Musi ha commentato: "Tale operazione si inserisce nel processo di razionalizzazione del Gruppo e, a seguito del completamento della relativa integrazione, sarà lanciato un nuovo progetto per valorizzare ancora di più il brand "Emmegas", grazie ad un rinnovamento della gamma di prodotti e sistemi dedicati al mercato After Market che, nelle nostre previsioni, consentirà di incrementare la penetrazione del Gruppo nei mercati e segmenti "low cost", con impatti positivi sia sul volume d'affari che sul risultato operativo".

Landi Renzo è leader mondiale nel settore dei componenti e dei sistemi di alimentazione a GPL e Metano per autotrazione. La Società, con sede a Cavriago (Reggio Emilia) e con un'esperienza di oltre 60 anni nel settore, si è caratterizzata per l'internazionalità dell'attività che si concretizza nella presenza in oltre 50 Paesi, con una percentuale di vendite generata all'estero di circa l'80%. Landi Renzo: Merger by absorption of Emmegas S.r.l. in Landi Renzo S.p.A.

Cavriago (Reggio Emilia), October 30, 2018

Today Landi Renzo S.p.A., with a public deed of merger, in front of the Notary Giuseppe Chiantera in Reggio Emilia, has incorporated the company "Emmegas S.r.l. owned by a sole shareholder" with registered office in Cavriago, Via Industria 20, with VAT Code, Fiscal Code and the registering number of the Register of Companies of RE n. 01545880351, REA n. RE 194276.

The incorporating Company Landi Renzo S.p.A. starting from the effective date of the merger will take over, according to art. 2504-bis of the Civil code, in all the active and passive contracts of Emmegas S.r.l. instrumental to the carrying out of the business activity.

The CEO Cristiano Musi commented: "This operation fits into the Group's rationalization process and, following the completion of the related integration, a new project will be launched to further enhance the "Emmegas" brand, thanks to an update of the range of products and systems dedicated to the After Market business whichwill enable the Group to penetrate the "low cost" markets and segments, with positive impacts both on turnover and on the operating result".
