Avviso di scioglimento del patto parasociale pubblicato ai sensi dell'art. 131, comma 4, lett. b) del Regolamento Consob n. 11971/1999 del 14 maggio 1999 come successivamente modificato e integrato ("Regolamento Emittenti")

Vimercate (Monza Brianza), 26 febbraio 2019 - Ai sensi dell'art. 131, comma 4, lett. b) del Regolamento Emittenti si comunica che in data 22 febbraio 2019 è venuto a scadenza per decorso del termine di durata il patto di sindacato (il "Patto") vigente fra i Sig.ri Francesco Monti, Paolo Stefanelli, Tommaso Stefanelli, Matteo Stefanelli, Maurizio Rota e Alessandro Cattani stipulato in data 23 febbraio 2016 e da ultimo aggiornato in data 3 agosto 2018, in relazione alle n. 15.567.317 azioni ordinarie di Esprinet S.p.A., con sede in Vimercate, Via Energy Park, 20, iscritta al Registro delle Imprese di Milano, Monza Brianza e Lodi, Codice Fiscale 05091320159, società quotata sul Mercato Telematico, costituenti complessivamente il 29,706% delle azioni rappresentative dell'intero capitale sociale della Società.

Della notizia dello scioglimento del Patto è data pubblicità mediante deposito presso il Registro delle Imprese di Milano, Monza Brianza e Lodi e mediante pubblicazione dell'avviso di scioglimento del Patto sul quotidiano a diffusione nazionale "Italia Oggi" nell'edizione del 27 febbraio 2019.

Si ricorda che il Patto prevedeva: (i) un sindacato di voto con riferimento all'elezione dei membri degli organi sociali; (ii) obblighi di preventiva consultazione delle parti con riferimento alle altre materie sottoposte all'assemblea dei soci; (iii) un sindacato di blocco.

Notice of termination of the shareholders' agreement published pursuant to art. 131, paragraph 4, letter b) of CONSOB Regulation no. 11971/1999 of 14 May 1999, as subsequently amended and supplemented (the "Issuers Regulation")

Vimercate (Monza Brianza), 26 February 2019 - Pursuant to Article 131, paragraph 4, letter b) of the Issuers Regulation, notice is hereby given that the shareholders' agreement, in force between Messrs Francesco Monti, Paolo Stefanelli, Tommaso Stefanelli, Matteo Stefanelli, Maurizio Rota e Alessandro Cattani, signed on February 23, 2016 and lastly updated on August 3, 2018, in relation to no. 15,567,317 ordinary shares of Esprinet S.p.A., headquartered in Vimercate, Via Energy Park, 20, registered with the Register of Companies of Milan, Monza Brianza and Lodi, Tax Code 05091320159, a company listed on the MTA, making up a total of 29.706% of the shares representing the entire share capital of the Company, ended on February 22, 2019, due to the expiry of the term of duration (the "Shareholders' Agreement").

Notice of the termination of the Shareholders' Agreement has been given through filing with the Register of Companies of Milan, Monza Brianza and Lodi and by publication of the notice of termination of the Shareholders' Agreement on the national daily newspaper "Italia Oggi" in the edition of February 27, 2019.

It is hereby noted that the Shareholder's Agreement provided: (i) a voting syndicate in relation to the election of the members of the corporate bodies of the Company; (ii) the obligation of a prior consultation in relation to the other resolutions of the shareholders' meetings; (iii) a blocking syndicate.
