ForFarmers cancels nearly 6 million shares on 27 June 2023

ForFarmers announces the cancellation of 5,935,004 shares on 27 June 2023. ForFarmers has repurchased these shares for a total amount of €23,245,424 under the share-buyback programme to the amount of at maximum €50 million, which was approved by the General Meeting of Shareholders in 2021. On 15 March 2022, ForFarmers announced that it considered it prudent to temporarily suspend the sharebuyback programme, which had started on 2 December 2021. Subsequently, ForFarmers reported in its Third quarter 2022 trading update on 1 November, not to restart the share-buyback programme.

The current share-buyback program for a maximum of 625,000 shares, for a maximum amount of €3,125,000, is still ongoing. This programme started on 18 April 2023 for the purpose of ForFarmers fulfilling its obligations under the (depositary receipts for) share-related incentive schemes and obligations from employee participation plans 2022. The buy-back programme will end no later than December 31, 2023, or when the programme has been completed.

All the conditions for cancellation of the shares have been met. The share capital has been adjusted in the articles of association of ForFarmers, the announcement regarding the intended withdrawal has been made and the declaration of no objection has been received from the Court.

After cancellation of the 5,935,004 shares, ForFarmers will have 89.283.817 issued ordinary shares, of which 89,082,499 outstanding as of today. The cancellation of the shares in question does not affect the voting ratio or the number of shares entitled to dividend.

ForFarmers trekt bijna 6 miljoen aandelen in op 27 juni 2023

ForFarmers maakt bekend 5.935.004 aandelen in te trekken op 27 juni 2023. Deze aandelen heeft ForFarmers voor een totaalbedrag van €23.245.424 ingekocht onder het door de algemene vergadering van aandeelhouders in 2021 goedgekeurde inkoopprogramma van eigen aandelen voor een bedrag van maximaal €50 miljoen. Op 15 maart 2022 maakte ForFarmers bekend het inkoopprogramma, dat op 2 december 2021 was gestart, uit prudentie tijdelijk op te schorten. In de operationele voortgangsrapportage derde kwartaal 2022 van 1 november meldde ForFarmers dat het inkoopprogramma niet opnieuw zou worden opgestart.

Het huidige inkoopprogramma van eigen aandelen voor maximaal 625.000 aandelen, voor een maximaal bedrag van €3.125.000,- loopt nog door. Dit programma startte op 18 april 2023 ten behoeve van het nakomen door ForFarmers van haar verplichtingen onder de (certificaten van) aandelen-gerelateerde beloningsplannen en verplichtingen uit medewerkersparticipatieplannen 2022. Het inkoopprogramma zal eindigen uiterlijk op 31 december 2023, of zoveel eerder als het programma is voltooid.

Aan alle voorwaarden om tot intrekking van aandelen te kunnen overgaan zijn voldaan. Het maatschappelijk kapitaal is aangepast in de statuten van ForFarmers, de aankondiging met betrekking tot de voorgenomen intrekking is gedaan en de verklaring van geen verzet is ontvangen van de

Rechtbank. Na intrekking van de 5.935.004 aandelen zal ForFarmers 89.283.817 geplaatste gewone aandelen hebben, waarvan per vandaag 89.082.499 in omloop. De intrekking van betreffende aandelen heeft geen invloed op de stemverhouding of op het aantal dividendgerechtigde aandelen.
