PRESS RELEASE

Gas Plus: approved by the Romanian National Agency for Mineral Resources (NAMR) the transfer of the 5% stake in the project to Black Sea Oil & Gas.

Milan, 26 April 2019 - With reference to the Farm Out Agreement (FOA) with the operator Black Sea Oil & Gas SRL (BSOG) for the sale of a 5% stake in the E&P project "Midia Gas Development" (Concession for Blocks XIII and XV in the Romanian Black Sea), please be informed that the Romanian National Agency for Mineral Resources (NAMR) has approved the transfer of the whole 5% Gas Plus International BV (a fully owned subsidiary of Gas Plus) participating interest to BSOG. The other Joint Venture partner did not exercise its pre-emptive right. Therefore, all the main conditions precedent for the transfer of the participating interest (5%) of the E&P project are fulfilled. The transfer is expected to be completed by the 10th of May 2019.

Gas Plus is the fourth largest producer of natural gas (as estimated by the Authority for Electricity, Gas and Water System, AEEGSI) after Eni, Edison and Shell Italia E&P. It is active in the main sectors of the industry of natural gas, particularly in the exploration, production, purchase, distribution and sale to retail customers. At 31 December 2018, the Group has 45 exploitation concessions located throughout the Italian territory, manages a total of approximately 1,600 kilometers of distribution network located in 39 Municipalities, serves a total of more than 69,000 end users, with a staff of 159 employees.
