TRIBOO'S NEW BOARD OF DIRECTORS: RICCARDO MARIA MONTI APPOINTED CHIEF EXECUTIVE OFFICER

Milan, 3 May 2019

The Board of Directors of Triboo S.p.A., Group that operates in the E-Commerce and digital advertising sector, listed on the MTA of the Italian Stock Exchange, was held today and appointed Riccardo Maria Monti as the new Chief Executive Officer.

Mr. Monti has been a Director and Partner of Value Partners, transforming it from a boutique with 30 professionals to an Italian multinational consulting service with 3,000 employees in 15 offices worldwide. From 2012 to today, he has been, sequentially, President of ICE (Agency for the promotion abroad and internationalization of Italian companies), President of Grandi Stazioni S.p.A to monitor the final phase of the privatization process, President of Italferr S.p.A. and Treasurer on the Robert Kennedy Foundation Board. In his career, he has collaborated at a professional and institutional level with Corporations and Governments from around 50 countries around the world.

The new Chief Executive Officer, Riccardo Maria Monti, commented: "I am honored that the new Board of Directors, composed of outstanding professionals, has given me trust. Together with our extraordinary management team, with whom we have developed a strong teamwork, by enhancing the complementarities between the more experienced members and the young talents, we will pursue the development strategy already implemented by the Group. The new BoD appointed Giangiacomo Corno as Vice President, conferring also the delegations and powers. Furthermore, it should be noted that Camilla Cionini Visani has been appointed as President of the Board of Directors of Triboo S.p.A. during the Ordinary Shareholders' Meeting held on the past April 29th.

The Board of Directors has also appointed, pursuant to the Corporate Governance Code, the following Committees:

• Control and Risk and Related Party Transactions Committee: Rosalba Veltri, Ramona Corti and Enrico Petocchi (President);
• Nominations and Compensations Committee: Enrico Petocchi, Marco Giapponese and Rosalba Veltri (President).

Furthermore, the Board of Directors has assessed and verified the independence requirements of the Directors, based on the information received from interested parties and at disposal of the Company: Rosalba Veltri, Ramona Corti, Marco Giapponese, Enrico Petocchi, and Vincenzo Polidoro.

The evaluation was carried out pursuant to article 148, paragraph 3 of the Consolidated Law on Finance and on the basis of the criteria indicated by the Corporate Governance Code for listed companies.
