Results of Today's Board of Directors

Cagliari, May 13, 2019

The Company announces that, today, its Board of Directors has held a meeting and resolved to:

• 1. Replace the Chairman of the Board of Directors by appointing Mr. Renato Soru as Chairman, replacing Mr. Alexander Okun;
• 1. Appoint Mr. Renato Soru as Chief Executive Officer, replacing Mr. Alex Kossuta;
• 1. Mandate the newly elected Chairman of the Board of Directors to convene the ordinary Shareholders' Meeting, determining the day and place, in order to discuss and deliberate on the following agenda:
• (i) revocation of the current Board of Directors
• (ii) determination of the number of members of the Board of Directors;
• (iii) appointment of the members of the Board of Directors through the list voting mechanism; and
• (iv) remuneration pursuant to Article No. 2389, first paragraph, of the Italian Civil Code.
