Comunicazione delle modifiche ai diritti di voto ai sensi dell'art. 85-bis del Regolamento Emittenti CONSOB

Bologna, 7 agosto 2019 - Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL), società quotata presso il Mercato Telematico Azionario - segmento STAR - organizzato e gestito da Borsa Italiana S.p.A. e leader mondiale nei settori dell'acquisizione automatica dei dati e dell'automazione industriale, annuncia che in data odierna è intervenuta una variazione dei diritti di voto della Società per effetto della maturazione della maggiorazione del voto di cui all'art. 127 quinquies del TUF e dell'articolo 6 dello statuto sociale.

Con la presente comunicazione, che viene effettuata ai sensi dell'art. 85-bis del Regolamento Emittenti di Consob, si evidenzia che:

• − il capitale sociale di Datalogic è pari ad Euro 30.392.175,32 ed è costituito da 58.446.491 azioni ordinarie di valore nominale pari a Euro 0,52 ciascuna;
• − dalla data odierna è maturato il diritto alla maggiorazione per 37.787.323 azioni (in rapporto di due diritti di voto per ciascuna azione) su un totale di 58.446.491 azioni, che ha comportato una variazione dei diritti di voto complessivi da 58.446.491 a 96.233.814;
• − ai sensi dell'art. 127-quinquies, comma 8, TUF, la maggiorazione del diritto di voto si computa per la determinazione dei quorum costitutivi e deliberativi dell'Assemblea dei soci.

Si informa, altresì, che non risultano altre azioni la cui maggiorazione sia in corso di maturazione.

Communication of changes in voting rights pursuant to art. 85-bis of the Consob Issuers Regulations

Bologna, August 7, 2019 - Datalogic S.p.A. (Borsa Italiana S.p.A: DAL), a company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A. ("Datalogic") and global leader in the automatic data capture and process automation markets announces that today a change in the Company's voting rights took place due to the maturation of the increase in votes pursuant to art. 127-quinquies of the Consolidated Finance Act and art. 6 of the Articles of Associations.

With this communication, which is carried out pursuant to art. 85-bis of the Consob Issuers Regulations, it should be noted that:

• − Datalogic's share capital amounts to Euro 30,392,175.32 and consists of 58,446,491 ordinary shares with a par value of Euro 0.52;
• − from today, the right to the increase in votes matured for 37,787,323 shares (with a ratio of two voting rights for each share) out of a total of 58,446,491 shares, which resulted in a rise in total voting rights from 58,446,491 to 96,233,814;
• − pursuant to art. 127-quinquies, paragraph 8, Consolidated Finance Act, the increase in voting rights is taken into account when calculating whether the Shareholders' Meeting has a quorum to start proceedings and to pass resolutions.

It should also be noted that there aren't other shares for which the increase of the voting rights is in course.
