EFFECTIVENESS OF THE MERGER OF SABAF IMMOBILIARE S.R.L. INTO SABAF S.P.A.

****************************************************************************************************************************************************************************** Following the signing on 18 November 2019 of the deed of merger through incorporation into Sabaf S.p.A. of the wholly-owned subsidiary Sabaf Immobiliare s.r.l., the relevant deed was filed and registered today with the competent Company Register of Brescia.

As a result of the merger, Sabaf S.p.A. fully took over all of the assets and liabilities of the merged company with the transactions of the latter being recognised in the financial statements of the merging company as from 1 January 2019.

Since the merged company is wholly owned by Sabaf S.p.A., the shares representing the share capital of the former are cancelled without replacement and without Sabaf S.p.A. increasing the share capital accordingly.
