H-FARM Spa comunica che in data odierna i soci pattisti Cattolica Assicurazioni e Riccardo Donadon1 hanno confermato il rispettivo commitment vincolante a sottoscrivere Strumenti Finanziari Partecipativi emessi dalla Societa lo scorso 14 dicembre per l'ammontare massimo previsto di Euro 8.000.000,00 (ottomilioni /00) e hanno versato i relativi importi. Per quanto riguarda Riccardo Donadon il versamento e avvenuto tramite la conversione del precedente finanziamento soci per l'importo pari a Euro 1 milione mentre Cattolica Assicurazioni ha sottoscritto e versato in data odierna l'importo di Euro 7 milioni.

H-FARM Spa comunica che in data odierna i soci pattisti Cattolica Assicurazioni e Riccardo Donadon1 hanno confermato il rispettivo commitment vincolante a sottoscrivere Strumenti Finanziari Partecipativi emessi dalla Società lo scorso 14 dicembre per l'ammontare massimo previsto di Euro 8.000.000,00 (ottomilioni /00) e hanno versato i relativi importi. Per quanto riguarda Riccardo Donadon il versamento è avvenuto tramite la conversione del precedente finanziamento soci per l'importo pari a Euro 1 milione mentre Cattolica Assicurazioni ha sottoscritto e versato in data odierna l'importo di Euro 7 milioni.

Trattandosi in entrambi i casi di operazioni con parti correlate2 nel corso del Consiglio di Amministrazione dello scorso 14 dicembre 2019, il Comitato Parti Correlate aveva espresso preliminarmente il proprio parere favorevole circa la sussistenza di interesse della Società al loro compimento, la congruità delle componenti economiche e la correttezza sostanziale nei termini e condizioni delle stesse così come rappresentate al Comitato stesso. Il Comitato aveva concluso infine dichiarando che, qualora perfezionate nei termini prospettati dal Consiglio di Amministrazione, le operazioni ricadrebbero nella definizione di "Operazioni di Maggiore Rilevanza" ai sensi della vigente Procedura per le Operazioni con Parti Correlate.

A valle della conferma ricevuta in data odierna rispettivamente da Cattolica Assicurazioni e Riccardo Donadon del corrispettivo commitment vincolante e dei relativi importi, l'operazione si configura come un'operazione di maggiore rilevanza e conseguentemente la Società metterà a disposizione del pubblico secondo i termini previsti dalla legge il Documento Informativo presso la sede legale di H-FARM S.p.A. (via Sile n. 41 – 31056 Roncade TV) e nel sito internet di della Società (www.h-farm.com).

UNDERWRITING AND EXECUTION OF THE PARTICIPATORY FINANCIAL INSTRUMENTS APPROVED BY THE H-FARM EXTRAORDINARY SHAREHOLDERS' MEETING

Ca'Tron, 18 December 2019. H-FARM SpA announced that today the shareholders of Cattolica Assicurazioni and Riccardo Donadon1 have confirmed their respective binding commitment to underwrite the Participatory Financial Instruments issued by the Company on 14 December for the maximum envisaged amount of 8,000,000.00 euros (eight million / 00) and have paid in the related amounts. With regard to Riccardo Donadon, the payment was made through the conversion of the previous shareholders' loan for an amount of 1 million euros, while Cattolica Assicurazioni underwrote and paid the amount of 7 million euros today.

Given that both were cases of transactions with related parties2 , during the Board Meeting held on 14 December 2019, the Related Parties Committee had previously expressed its favourable opinion regarding the existence of the Company's interest in completing them, the appropriate nature of the financial elements involved and the substantial correctness of the terms and conditions of the same as represented to the Committee itself. Finally, the Committee concluded by stating that, if finalised within the terms proposed by the Board of Directors, the transactions would fall under the definition of "Transactions of Greater Importance" pursuant to the current Procedure for Transactions with Related Parties.

Following the confirmation received today from Cattolica Assicurazioni and Riccardo Donadon respectively of their binding commitment and related amounts, the transaction is considered a transaction of greater importance and consequently, as required by law, the Company will release a public Disclosure Document at the registered office of H-FARM S.p.A. (Via Sile no. 41 – 31056 Roncade, Province of Treviso) and on the Company's website (www.h-farm.com).
