FIRST DAY OF TRADING OF ORSERO ORDINARY SHARES ON THE STAR SEGMENT OF THE MTA

Milan, 23 December 2019 – Orsero S.p.A. ("Orsero"), holding of a group among the leaders in Mediterranean Europe for the importation and distribution of fresh fruit and vegetables (the "Group"), informs that today began the trading of the Orsero shares (the "Shares") on the STAR segment of the Mercato Telematico Azionario ("MTA") , organized and managed by Borsa Italiana S.p.A.

As of today, the Shares are therefore simultaneously excluded from trading on the AIM Italia.

The Shares maintain the same ISIN code IT0005138703 assigned on admission to AIM Italia.

From today, some important changes to Group Governance become effective, in compliance with the provisions of the law, the applicable Regulations and the Corporate Governance Code.

In order to strengthen the independent component of the Board of Directors and balance the gender diversity, Laura Soifer becomes a member of the Board of Directors of Orsero as Independent Director from the date of the start of negotiations - following the resolution of the extraordinary shareholders' meeting of 25 October 2019.

Furthermore, again from today, as already resolved on 30 September 2019 by the Board of Directors of the Issuer, Orsero will be equipped with the following Board committees:

• a) Remuneration and Nominations Committee with functions regarding remuneration and nominations, pursuant to art. 6.C.5 and to the art. 5C.1 of the Corporate Governance Code;
• b) Control, Risks and Related Parties Committee, with responsibilities in matters of transactions with related parties and in the matter of control and risks pursuant to art. 7 of the Corporate Governance Code.

Mr. Paolo Prudenziati will hold the position of non-executive Chairman of the Board of Directors of the Company.

The new articles of association of the Company are now effective.
