Servizi Italia S.p.A.: resignation of Enea Righi (Chief Executive Officer and Deputy Chairman) and governance interventions

Castellina di Soragna (PR), Italy, 7 January 2020

Servizi Italia S.p.A. (the "Company") – a company listed on the STAR segment of the Italian Stock Exchange and leader in the outsourcing of hospital services in Italy, Brazil, Turkey, India, Albania, Morocco and Singapore – here informs that, as of today, the Board of Directors has accepted the resignation of the Chief Executive Officer, Mr. Enea Righi, from all offices, functions and positions held in the Company and in any other company of the Servizi Italia Group.

Mr. Righi resigned today – with immediate effect – for personal reasons, expressing his willingness to dedicate himself to new initiatives in areas other than those in which the Company operates, and, at the same time, considering mature the conditions to facilitate a change in Company's governance.

The relationship with Enea Righi was governed by a directorship contract, as better described in the Annual Remuneration Report, to which reference should be made.

As a result of the abovementioned resignation, the parties have also signed an agreement which, in summary, provides:

  • in compliance with directorship contract and remuneration policy, the Company will pay Enea Righi Euro 500,000, without interest of any kind, against the 24-month non-competition agreement. This sum will be paid within the following terms: (i) Euro 250,000 gross within 30 days from the effective termination of all positions; and (ii) Euro 250,000 gross within 12 months from the expiry of the first payment deadline;
  • the payment of fixed emoluments accrued pro rata temporis and any variable remuneration due in respect of 2019 results;
  • no retention of rights based on financial instruments (as of today, Enea Righi does not hold any shares in the Company);
  • no monetary benefits or additional indemnities or compensation of any kind following the termination of the office;

• no claw back mechanisms.

The Board of Directors, having consulted the Nomination and Remuneration Committee, has activated the succession planning policy and, as of today, has attributed management powers to an Executive Committee, composed byRoberto Olivi (Chairman of the Board of Directors), Ilaria Eugeniani (Director, appointed Deputy Chairman of the Board of Directors) and Michele Magagna (Director), assisted by the Chief Operating Officer Andrea Gozzi.
