Milano, 20 febbraio 2020. Facendo seguito al comunicato del 30 gennaio e con riferimento a quanto indicato nel Prospetto Informativo del 19 dicembre 2019, Orsero S.p.A. comunica di essere stata informata dalla dott.ssa Raffaella Orsero, Vice Presidente e Amministratore delegato della Società, che nella giornata di ieri il Giudice dell'Udienza Preliminare ha pronunciato sentenza di non luogo a procedere nei suoi confronti, nonché degli altri soggetti imputati, per la presunta appropriazione indebita contestata nella richiesta di rinvio a giudizio.

Quanto alle altre ipotesi di reato oggetto di contestazione, il Giudice ha accolto l'istanza presentata dalla dott.ssa Orsero e sulla quale il PM ha espresso il proprio consenso, pronunciando sentenza di applicazione della pena su richiesta delle parti (c.d. "patteggiamento") a due anni di reclusione, con il beneficio della sospensione condizionale.

La dott.ssa Orsero ha ribadito che "l'istanza di applicazione della pena non costituisce in astratto – né intende in concreto costituire nel caso di specie – ammissione di colpevolezza, così come la relativa sentenza non costituisce accertamento del fatto contestato, si tratta di una scelta processuale dettata dall'opportunità di chiudere questa vicenda".

La Società nei prossimi giorni approfondirà eventuali profili rilevanti anche con l'ausilio dei propri consulenti e, ove necessario, fornirà ulteriori elementi al mercato.

Milan, 20 February 2020. Further to the press release of 30 January and with reference to what is indicated in the Information Prospectus of 19 December 2019, Orsero S.p.A. announces that it was informed by Mrs. Raffaella Orsero, Deputy-chair and CEO of the Company, that yesterday the Judge of Preliminary Hearing ("Giudice dell'Udienza Preliminare") sentenced not to proceed against her, as well as the other defendants, for the alleged misappropriation contested in the request for indictment.

As to the other alleged offenses contested, the Judge accepted the request presented by Mrs. Orsero and on which the Public Prosecutor ("Pubblico Ministero") expressed his consent, pronouncing a sentence of application of the penalty at the request of the parties (so-called "plea bargain") of two years of imprisonment, with the benefit of the suspended sentence.

Mrs. Orsero reiterated that "the request of application of the penalty does not constitute in abstract term nor it does specifically intend to constitute in the present case - admission of guilt, just as the relative sentence does not constitute an ascertainment of the contested fact, it is a procedural choice dictated by the opportunity to close this story ".

In the next few days, the Company will examine in depth any relevant profiles also with the assistance of its consultants and, if necessary, will provide further elements to the market.
