IL CDA DI EXPRIVIA DELIBERA DI DIFFERIRE LA DATA DI APPROVAZIONE DELLA RELAZIONE FINANZIARIA ANNUALE AL 31 DICEMBRE 2019

13 marzo 2020. Il Consiglio di Amministrazione di Exprivia S.p.A. - società quotata al segmento STAR di Borsa Italiana [XPR.MI] – riunitosi in data odierna, ha deliberato di differire l'approvazione della Relazione Finanziaria Annuale al 31 dicembre 2019 a nuova riunione da tenersi successivamente all' assembela degli azionisti di Italtel S.p.A. convocata dal Consiglio di Amministrazione di Italtel S.p.A. ai sensi e per gli effetti dell'art. 2447 cc., in prima convocazione per il giorno 31 marzo 2020 ed eventualmente in seconda convocazione per il giorno 15 aprile 2020.

Il differimento si è reso necessario stante la deliberazione del Consiglio di Amministrazione della controllata Italtel S.p.A., riunitosi il 12 marzo u.s., di differire a sua volta i termini di approvazione del proprio bilancio stanti gli avvenimenti alla base della convocazione della assemblea ai sensi dell'art. 2447 cc e in pendenza di contatti in essere con le banche finanziatrici ed ulteriori interlocutori volti ad individuare possibili soluzioni relative alla situazione patrimoniale di Italtel S.p.A..

Al fine di consentire una seppur sintetica informativa sulla performance dell'intero gruppo, il Consiglio di Amministrazione di Exprivia ha autorizzato la diffusione di alcuni dati di natura gestionale.

In crescita il settore operativo IT, ossia perimetro del Gruppo Exprivia al netto della controllata Italtel, che chiude l'anno con ricavi pari a Euro 169,3 mln, rispetto ai 161,5 mln del 2018 con un aumento di 7,9 mln pari al 4,9%. Dal punto di vista della marginalità l'anno si chiude con un Ebitda a Euro 18,8 mln (con effetto positivo dall'applicazione del nuovo IFRS 16 per 2,5 mln) rispetto a 15,9 mln del 2018. La posizione finanziaria netta è pari a Euro -42,9 mln (-36,4 al netto dell'effetto del nuovo IFRS 16 rispetto a -45,8 del 31 dicembre 2018).

Si riportano i dati del Gruppo Italtel che sono relativi all'andamento delle operation nel corso del 2019. Tali dati sono stati calcolati nel presupposto della continuità aziendale, pur sottolineando le significative incertezze derivanti dalla situazione di cui all'art. 2447, cod. civ. in cui versa Italtel S.p.A..

Il settore operativo TLC, nel perimetro della controllata Italtel, chiude il 2019 con ricavi pari a Euro 375,9 mln rispetto ai 466,0 mln del 2018. L'Ebitda è pari a Euro 15,5 mln (con effetto positivo dall'applicazione del nuovo IFRS 16 per circa 5,3 mln), rispetto ai 26,0 mln del 2018. La posizione finanziaria netta è pari a Euro -182,5 mln (-165,3 mln al netto dell'effetto del nuovo IFRS 16 rispetto a -168,9 mln del 31 dicembre 2018).

THE BOARD OF DIRECTORS OF EXPRIVIA RESOLVES TO DEFER THE APPROVAL OF THE GROUP ANNUAL FINANCIAL REPORT AT 31 DECEMBER 2019

March 13, 2020. The Board of Directors of Exprivia S.p.A. - a company listed on the STAR segment of Borsa Italiana [XPR.MI] –, met today, has resolved to postpone the approval of the annual financial report at 31 December 2019 to a new meeting to be held after the shareholders' meeting of Italtel S.p.A. convened by the Board of Directors of Italtel S.p.A. pursuant to art. 2447 cc., on first call for the 31st March 2020 and possibly on second call for the 15th April 2020.

The deferral has been necessary given the resolution of the Board of Directors of the subsidiary Italtel SpA, which met on the 12th March, to defer the terms of approval of its financial statements given the events underlying the call of the shareholders' meeting pursuant to art. 2447 of the Codice Civile and pending contacts with lending banks and other subjects aimed at identifying possible solutions relating to the financial position of Italtel S.p.A..

In order to allow a brief report on the performance of the entire group, the Board of Directors of Exprivia has authorized the disclosure of some management data.

The IT operating sector, namely Exprivia Group net of the subsidiary Italtel, grew and closed the year with revenues of Euro 169.3 mln, compared to 161.5 mln in 2018 with an increase of 7.9 mln equal to 4.9%. Considering margins, Ebitda stands at Euro 18.8 mln (with a positive effect from the application of the new IFRS 16 for 2.5 mln) compared to 15.9 mln in 2018. The net financial position is equal to Euro -42.9 mln (-36.4 mln net of the effect of the new IFRS 16 compared to -45.8 mln at 31 December 2018).

The Italtel Group management data relating to the performance of operations during 2019 are shown below. These data were calculated on the assumption of business continuity, while underlining the significant uncertainties deriving from the situation referred to art. 2447 cc in which Italtel S.p.A is facing.

The TLC operating sector, within the perimeter of the subsidiary Italtel, closed the year with revenues of 375.9 mln compared to 466.0 mln in 2018. Ebitda stands at 15.5 mln (with a positive effect from the application of the new IFRS 16 for approximately 5.3 mln), compared to 26.0 mln in 2018. The net financial position is equal to -182.5 mln (-165.3 mln net of the effect of the new IFRS 16 compared to -168.9 mln as at 31 December 2018).
