DEPOSITO DELLA RELAZIONE FINANZIARIA ANNUALE 2019 E DI ULTERIORE DOCUMENTAZIONE

PER L'ASSEMBLEA DEL 30 APRILE 2020 - INDICAZIONI CIRCA LE LISTE PER LA NOMINA DEGLI ORGANI SOCIALI

Milano, 30 marzo 2020. Orsero S.p.A., facendo seguito all'avviso di convocazione dell'Assemblea degli azionisti del 30 aprile 2020, rende noto che è stata messa a disposizione del pubblico sul sito istituzionale www.orserogroup.it, sezione "Investors/Assemblea Azionisti", e nel meccanismo di stoccaggio autorizzato eMarket Storage (), nonché depositata presso la sede sociale in Milano, Via G. Fantoli 6/15, la seguente documentazione:

• la Relazione finanziaria annuale della Società al 31 dicembre 2019 ai sensi dell'art. 154-ter del D. Lgs. 58/1998 (comprendente il progetto di bilancio d'esercizio, il bilancio consolidato al 31 dicembre 2019 e la relazione sulla gestione);
• la Dichiarazione consolidata di carattere non finanziario della Società al 31 dicembre 2019 ai sensi del D. Lgs. 254/2016 (Bilancio di Sostenibilità);
• la Relazione sul governo societario e gli assetti proprietari ai sensi dell'art.123-bis del D. Lgs. 58/1998 della Società e relativa all'esercizio 2019;
• le Relazioni illustrative degli Amministratori sui punti nn. 1, 2 e 3 dell'ordine del giorno dell'Assemblea.

Con riguardo al termine per la presentazione delle liste per la nomina degli organi sociali si comunica che, anche su indicazione dell'Autorità, tenuto conto dell'attuale situazione di emergenza sanitaria nonché delle relative restrizioni, si riterranno accettabili anche eventuali liste che pervenissero alla Società nel corso dell'intera giornata di lunedì 6 aprile 2020, nel rispetto degli altri termini e modalità indicati nell'avviso di convocazione e nello statuto sociale.

FILING OF THE ANNUAL FINANCIAL REPORT 2019 AND OTHER DOCUMENTS RELATING TO THE SHAREHOLDERS' MEETING OF 30 APRIL 2020 INFORMATION ABOUT LISTS FOR THE APPOINTMENT OF THE BOARDS

Milan, 30 March 2020. Orsero S.p.A., further to the notice of calling of the Shareholder's Meeting of 30 April 2020, announces that it has been made available to the public , on the institutional website www.orserogroup.it, section "Investors / Shareholders' Meeting", and on the authorized storage mechanism eMarket Storage (), as well as filed at the company's registered office in Milan, Via G. Fantoli 6/15 the following documentation:

• the Annual Financial Report of the Company as at 31 December 2019 in accordance with Art. 154 ter of Legislative Decree no. 58/1998 (comprising the draft Separate Financial Statements, the Consolidated Financial Statements as at 31 December 2019 and the Directors' report on operations);
• the Consolidated Non-financial statement of the Company as at 31 December 2019, in accordance with Legislative Decree no. 254/2016 (Sustainability Report);
• the Report on Corporate Governance and Ownership Structures pursuant to art. 123-bis of Legislative Decree 58/1998 of the Company and relating to the year 2019; ;
• the Directors' Reports on items 1, 2 and 3 of the agenda of the Shareholder's Meeting.

With regard to the deadline for submitting lists for the appointment of the boards, please be informed that, even on the recommendation of the Authority, taking into account the current health emergency situation and the related restrictions, any lists received by the Company throughout the entire day of Monday, April 6, 2020 will also be considered accepted, in accordance with the other terms and conditions indicated in the notice of calling and in the articles of association.
