EXPRIVIA RENDE NOTO CHE LA CONTROLLATA ITALTEL SPA PRESENTERA' DOMANDA DI CONCORDATO PREVENTIVO A NORMA DEGLI ART. 160 e ss, l. fall., E DI ESSERE IN TRATTATIVA ESCLUSIVA CON UN PRIMARIO FONDO PER IL RILANCIO DELLA STESSA
31 marzo 2020. Facendo seguito alle informative rese al mercato nelle precedenti occasioni, Exprivia - società quotata al segmento STAR di Borsa Italiana [XPR.MI] - rende noto che il Consiglio di Amministrazione della controllata Italtel Spa, riunitosi in data odierna, stante la perdurante situazione di difficoltà già comunicata al mercato, ha deliberato di presentare domanda per l'ammissione alla procedura di concordato preventivo a norma degli artt. 160 e ss, l. fall..
Exprivia rende altresì noto di essere in contatto con un primario Fondo attivo nel segmento della ristrutturazione del debito e che in data odierna il Consiglio di Amministrazione di Exprivia ha deliberato di concedere a tale fondo una esclusiva nelle trattative per una operazione di risanamento e rilancio della controllata Italtel.
Tenuto conto dei fatti di cui sopra e facendo seguito a quanto comunicato lo scorso 28 febbraio, l'assemblea dei soci della controllata Italtel S.p.A., convocata oggi in prima convocazione ai sensi dell'art. 2447 Co. Civ., è andata deserta. La seconda convocazione di tale assemblea è prevista per il prossimo 15 aprile.

EXPRIVIA NOTIFIES THAT THE SUBSIDIARY ITALTEL SPA WILL SUBMIT A DEMAND FOR AGREEMENT, IN ACCORDANCE WITH ART. 160 et seq, l. fall., AND TO BE IN EXCLUSIVE NEGOTIATION WITH A PRIMARY FUND FOR THE RELAUNCH OF THE SAME
March 31, 2020. Following the disclosures made to the market on previous communications, Exprivia - a company listed on the STAR segment of Borsa Italiana [XPR.MI] - informs that the Board of Directors of the subsidiary Italtel Spa, which met today, given the continuing difficult situation already communicated to the market, resolved to submit an application for admission to the composition with creditors procedure pursuant to art. 160 et seq, l. fall. (bankruptcy law).
Exprivia also informs that it is in contact with a primary fund active in the debt restructuring segment and that today the Board of Directors of Exprivia resolved to grant this fund an exclusive right in negotiations for a recovery and relaunch operation of the subsidiary Italtel.
Considering the above facts and following what was communicated on the 28 February, the shareholders' meeting of the subsidiary Italtel S.p.A., called today on the first call pursuant to art. 2447 c.c. has been unattended. The second call of the shareholders' meeting is scheduled for April 15.
