FinecoBank: Assemblea degli Azionisti del 28 aprile 2020 – Riapertura termini per il deposito di liste per la nomina del collegio sindacale.
Milano, 3 aprile 2020
Con riferimento all'Assemblea ordinaria di FinecoBank S.p.A. convocata in unica convocazione per il giorno 28 aprile 2020, la Società informa che, ai sensi dell'art. 144-octies, comma 2, del Regolamento Consob n. 11971/1999 ("RE"), alla data di scadenza del termine previsto per la presentazione delle liste del Collegio Sindacale è stata presentata soltanto una lista da parte di investitori istituzionali.
Pertanto, ai sensi dell'art. 144-sexies, comma 5, RE, gli Azionisti che rappresentano da soli, o insieme ad altri Azionisti, almeno lo 0,5% del capitale sociale possono presentare le proprie liste per la nomina del Collegio Sindacale, corredate dalla documentazione richiesta dalle disposizioni, anche statutarie, applicabili, entro (e non oltre) il 6 aprile 2020.
La documentazione di cui all'art. 144-octies RE sarà resa disponibile entro il 7 aprile 2020 presso la sede sociale, sul sito internet della Società www.finecobank.com (sezione "Governance/ Assemblee"), nonché sul meccanismo di stoccaggio autorizzato "eMarket STORAGE" consultabile sul sito www.emarketstorage.

FinecoBank: Shareholders' Meeting of April 28, 2020 – Reopening of the deadline for the presentation of the list for the appointment of the Board of Statutory Auditors
Milan, April 3th, 2020
With reference to the Ordinary Shareholders' meeting of FineboBank S.p.A. to be held on April 28, 2020, in a single call, the Company informs, pursuant to Article 144-octies, par. 2, of Consob Regulation no. 11971/1999 ("RE"), that as at the expiry date of the deadline for lists' presentation, only one list for the appointment of the Board of Statutory Auditors, have been filed by institutional investor.
Therefore, pursuant to Article 144-sexies, par. 5, RE, the Shareholders which represent – individually or together with other Shareholders – at least 0,5% of the share capital can present their own lists for the appointment of the Board of Statutory Auditors, along with the relevant documentation required under the applicable provisions of law and by-laws, within (and not later than) April 6, 2020.
The documentation, pursuant to Article 144-octies RE, will be made available by April 7, 2020 at the Company's registered office, on the Company's website www.finecobank.com (Section "Governance/ Shareholders' Meetings") and in the authorised storage mechanism "eMarket STORAGE" available on the website .
