REDUCTION OF THE STARTING THRESHOLD FOR THE COMMUNICATION OF RELEVANT SHAREHOLDINGS EX ART. 120 OF TUF AND RELATED UPDATE OF THE 2020 SHAREHOLDER MEETING CALL NOTICE

Rome, 10 April 2020 – CONSOB decision n. 21326 of the 9 of April 2020 has reduced for some SMEs, including Avio S.p.A. ("Avio" or the "Company"), the initial threshold to communicate significant shareholdings according to art. 120, comma 2, of D. Lgs. n. 58/1998 ("TUF") from 5% to 3%.

This threshold will be applied until the 11 of July 2020, unless an anticipated withdrawal.

Following the CONSOB decision, whoever is in possession of a shareholding higher than 3% and lower than 5% as of the 11 of April 2020, must communicate it according to the terms and deadlines foreseen by art. 120, comma 2, of D. Lgs. n. 58/1998, within 10 working days from the date above.

Furthermore, the CONSOB decision n. 21327 of the 9 of April, has introduced, until the 11 of July 2020 and unless an anticipated withdrawal of the decision, the additional 5% threshold at which the additional publication obligations related to the "declaration of intents" set forth by art. 120, comma 4bis, of TUF in relation to all of the Italian listed companies with a widespread shareholder base, including Avio.

In light of the upcoming Shareholder Meeting of the 6 of May 2020, it is reminded that the voting rights for shares for which the communication obligations set forth by commas 2 and 4 of art. 120 of TUF cannot be exercised.

This modification notice will be published today on the Company website and on the "eMarket Storage" authorized platform.
