Comunicazione riguardante i diritti di voto

Bologna, 27 maggio 2020 – Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL), società quotata presso il Mercato Telematico Azionario, Segmento Star, organizzato e gestito da Borsa Italiana S.p.A. - ai sensi dell'art. 85-bis, comma 4-bis del Regolamento Emittenti - comunica che il capitale sociale di Datalogic S.p.A. sottoscritto e versato è di euro 30.392.175,32, suddiviso in numero 58.446.491 azioni ordinarie del valore nominale di euro 0,52 ciascuna.

Alla data odierna è maturato il diritto alla maggiorazione del voto (in rapporto di due diritti di voto per ciascuna azione) per n. 37.787.323 azioni equivalenti al 78,53% del numero totale dei diritti di voto pari a 96.233.814 diritti.

Ai sensi del comma 8 dell'art. 127-quinquies del Testo Unico della Finanza, la maggiorazione del diritto di voto si computa per la determinazione dei quorum costitutivi e deliberativi dell'Assemblea dei Soci.

Si informa, altresì, che risultano iscritte nell'elenco del voto maggiorato n. 2.141 ulteriori azioni, la cui maggiorazione è in corso di maturazione.

Announcement related to voting rights

Bologna, May 27th , 2020 – Datalogic S.p.A. (Borsa Italiana S.p.A: DAL), a company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A. ("Datalogic"), announces - pursuant to art. 85-bis paragraph 4 bis of the Issuer Regulation adopted by Consob with decision no. 11971 of 14 May 1999 - that Datalogic S.p.A. share capital is equal to euro 30,392,175.32 and consists of n. 58,446,491 shares with a nominal value of euro 0.52 per share.

The number of shares with accrued increased voting rights (two voting rights per share) is n. 37,787,323 shares, equal to 78,53% of the total voting rights equal to 96,233,814.

Pursuant to subsection 8 of art 127-quinquies of the TUF, the increase of voting rights is calculated to determine the quora to convene the Shareholders' Meeting as well as for it to pass resolutions.

It should also be noted that there are further n. 2.141 shares registered in the list of increased voting rights; said increase is currently being vested.
