COMUNICAZIONE DI VARIAZIONE DEL CAPITALE SOCIALE E VARIAZIONE PARTECIPAZIONE RILEVANTE

Milano, 22 giugno 2020

Relatech S.p.A., Digital Enabler Solution Company (D.E.S.C.) e PMI innovativa quotata sul mercato AIM Italia (Ticker: RLT), comunica la nuova composizione del capitale sociale (interamente sottoscritto e versato) a seguito del deposito presso il Registro delle Imprese di Milano dell'attestazione, ai sensi dell'art. 2444 del Codice Civile, di avvenuta esecuzione dell'aumento di capitale sottoscritto e versato a seguito della chiusura del Primo Periodo di Esercizio dei "Warrant Relatech 2019 – 2022" ricompreso tra il 15 maggio 2020 - 22 maggio 2020 inclusi. Nel corso di detto periodo, sono stati esercitati n. 2.941.414 Warrant e conseguentemente sottoscritte. al prezzo di Euro 2,36 per azione (nel rapporto di n. 1 azione ordinaria ogni n. 2 Warrant esercitati), n. 1.470.707 Azioni ordinarie Relatech di nuova emissione, prive dell'indicazione del valore nominale, aventi godimento regolare e le medesime caratteristiche delle azioni ordinarie Relatech in circolazione alla data di emissione (le "Azioni di Compendio"), per un controvalore complessivo pari a Euro 3.470.868,52.

Si riporta di seguito la nuova composizione del capitale sociale (interamente sottoscritto, versato e liberato) a seguito della suddetta iscrizione, nello schema previsto dal modello T.1 del Regolamento Emittenti.

Relatech rende altresì noto, di aver ricevuto in data odierna dall'azionista Pasquale Lambardi la comunicazione di cambiamento sostanziale della partecipazione in relazione alla riduzione della soglia di rilevanza del 66,6%; in particolare, Pasquale Lambardi ha dichiarato di detenere, a seguito dell'esercizio (sopra descritto) di "Warrant Relatech 2019 – 2022" da parte di terzi investitori e la conseguente emissione di nuove Azioni Ordinarie ("Azioni di Compendio"), una partecipazione pari al 64,78% del capitale sociale dell'Emittente.

Ai sensi dell'art. 26 del Regolamento Emittenti AIM Italia, il nominativo degli azionisti significativi di Relatech sarà disponibile sul sito dell'Emittente alla sezione investor relations.

NOTICE OF CHANGE IN SHARE CAPITAL AND CHANGE IN SIGNIFICANT PARTICIPATION

Milan, June 22nd 2020

Relatech S.p.A., Digital Enabler Solution Company (D.E.S.C.) and innovative SME listed on AIM Italia market (Ticker: RLT), notifies the new composition of the share capital (fully subscribed and paid up) following the filing of the certificate with the Milan Company Register, pursuant to art. 2444 of the Civil Code, of the execution of the capital increase subscribed and paid following the closure of the First Exercise Period of the "Relatech Warrants 2019 - 2022" included between 15 May 2020 - 22 May 2020 included. During this period, no. 2,941,414 Warrants and consequently signed. at the price of Euro 2.36 per share (in the ratio of 1 ordinary share for every 2 warrants exercised), n. 1,470,707 newly issued ordinary Relatech shares, without indication of the nominal value, with regular dividend rights and the same characteristics as the ordinary Relatech shares in circulation on the issue date (the "Compendium Shares"), for a total value of Euro 3,470,868.52.

The new composition of the share capital (fully subscribed, paid and paid) following the aforementioned registration is shown below, in the format envisaged by model T.1 of the Issuers Regulation.

Relatech also announces that today it has received from the shareholder Pasquale Lambardi the notification of a substantial change in the equity investment in relation to the reduction of the materiality threshold of 66.6%; in particular, Pasquale Lambardi declared to hold, following the exercise (described above) of "Relatech Warrants 2019 - 2022" by third-party investors and the consequent issue of new Ordinary Shares ("Conversion Shares"), equal to 64.78% of the Issuer's share capital.

Pursuant to art. 26 of the AIM Italia Issuers Regulation, the name of Relatech's significant shareholders will be available on the Issuer's website in the investor relations section.
