EDISON: AVVIATE LE DISCUSSIONI CON F2i PER RIACQUISTARE IL 70% DI E2I ENERGIE SPECIALI E CON 2i RETE GAS PER LA PARTECIPAZIONE IN INFRASTRUTTURE DISTRIBUZIONE GAS
Milano, 8 settembre 2020 - Edison rende noto di aver avviato le trattative con F2i Fondi Italiani per le Infrastrutture, al fine di risolvere la partnership in E2i Energie Speciali, società leader nel settore eolico, rilevando la quota che ancora non possiede, pari al 70%. E2i Energie Speciali è nata nel 2014 dalla volontà di Edison e F2i e di cui Edison, che la consolida integralmente, possiede la restante quota del 30%.
Inoltre, 2i Rete Gas, società partecipata da fondi di investimento gestiti da F2i, Ardian e APG, ha inviato una manifestazione di interesse per l'acquisto del 100% di Infrastrutture Distribuzione Gas, società interamente posseduta da Edison e che gestisce le reti e gli impianti per la distribuzione del gas in 58 Comuni di Abruzzo, Emilia-Romagna, Lazio, Lombardia e Veneto. Edison informa di aver concesso a 2i Rete Gas un'esclusiva sino al 20 novembre 2020 per le attività di due diligence e per la negoziazione della possibile operazione.
Le negoziazioni con F2i e 2i Rete Gas sono coerenti con il piano di sviluppo strategico di Edison che intende essere leader della transizione energetica attraverso un progressivo disimpegno dalle attività non-core e un rafforzamento nella produzione di energia da fonti rinnovabili e CCGT ad alta efficienza, nell'efficienza energetica e nei servizi ai clienti.

EDISON: DISCUSSIONS STARTED WITH F2I TO REPURCHASE 70% OF E2I ENERGIE SPECIALI AND WITH 2i RETE GAS FOR THE PARTICIPATION IN INFRASTRUTTURE DISTRIBUZIONE GAS
Milan, September 8, 2020 - Edison announces that it has begun negotiations with F2i Fondi Italiani per le Infrastrutture to terminate the partnership in the wind-power sector leader E2i Energie Speciali and acquire the 70% stake that it does not own yet. E2i Energie Speciali was created in 2014 by the will of Edison and F2i, in which Edison holds the remaining 30% interest. Edison fully consolidates E2i Energie Speciali.
In addition, 2i Rete Gas, the company participated by investment funds managed by F2i, Ardian and APG, sent an expression of interest for the purchase of 100% of Infrastrutture Distribuzione Gas, the company wholly owned by Edison and that manages the gas distribution networks and systems in 58 municipalities in the regions of Abruzzo, Emilia-Romagna, Lazio, Lombardy and Veneto. Edison informs that it has granted 2i Rete Gas an exclusive right for the due diligence activities preparatory to the signing of the possible binding agreement until November 20, 2020.
The negotiations with F2i and 2i Rete Gas are consistent with Edison's strategic development plan as the company intends to become a leader in the energy transition with a progressive disengagement from noncore businesses while enhancing its production of energy from renewable sources, high efficiency combined cycle gas turbine (CCGT), energy efficiency and customer service.
